I am running for the DCU board of directors because I believe the
nomination committee's choices represent "business as usual". I don't
believe the nominated candidates will make the hard choices necessary to
restore the integrity of DCU. The current board allowed the fraud to
continue for years despite earlier indications, and covered up the loss
due to the fraud. This board designed the process to select candidates
like themselves. Note also that two of the candidates were even board
members during the loss and coverup. Can we expect a real change?
I have been employed at Digital for 17+ years and am currently a
consulting engineer. During that time, I have shown my ability to
advocate for the average employee's concerns to the top of Digital. I
seek your support to be able to do the same at DCU to make DCU
responsive to members and to restore the integrity of DCU.
I advocate:
1. Immediate revocation of the information protection policy. Information
will be available with minimal redaction to members for free.
2. Full top-to-bottom BoD directed audit of DCU for complicity in the fraud.
3. No more hiring of advertising firms. DCU communications will be
straight and honest.
4. Consider pursuing reimbursement from the $3M bond due to the board's
mismanagement.
5. Determine whether the Mangone lawsuit is cost-effective to pursue.
6. Take other steps as necessary to re-establish the desires of shareholders
as top priority.

| Here is my candidacy statement as submitted today (149 words) to the DCU:
I am a "REAL CHOICES" candidate for the DCU Board of Directors because I
want to restore DCU's integrity and credit union focus. The current
board attempted to cover up an $18,000,000 fraud with misleading
reports, an Information Protection Policy, and the imposition of
checking account fees. After the Special Meeting required a new
election, the board implemented a nomination process violating DCU
Election Guidelines which selected candidates similar to themselves.
I advocate:
-Restoring DCU's credit union focus directed by members.
-Honest and frank DCU communications.
-A complete audit of DCU.
-Requiring approval by members for bylaw changes.
-Board term limits
I have been at Digital for 17 years and am a consulting engineer. I
have demonstrated my ability to advocate for the average employee's
concerns to top Digital management. I seek your support to make DCU
responsive to members and to restore the integrity and focus of DCU.

| Read the 1990 annual report. The participation loans were clearly spelled
out in the auditor's notes which were with-held from members. Furthermore,
the annual report said "DCUs performance improved" when in fact it had
drastically (like 90% or so) dropped from the previous year due to the
writeoffs of the participation loans.

Paul, while I believe that you would be an excellent candidate, and
your statement certainly will play popularly with the NOTESfile
readership, I respectfully submit that your opening paragraph is
fraught with unproven allegations (not that there is no evidence, mind
you, just no final denouement), and I would be very surprised if is
published as is. It makes you sound like a critic of the past, as
opposed to a visionary for the future.
I personally will vote for visionaries, not critics.

words now is pointless.

Not flamed, just sorry you feel that way because I don't agree. However,
I do have a couple of comments:
1) I only have 150 words - no space to prove anything. Contact me or ask
me specifically to prove something you question. Note that the entry
that documents the past board's suboptimal decisions is currently being
"tweaked" due to an anonymous complaint of certain passages.
It will be republished shortly.
Please take the time to check out some of the statements yourself.
Don't take it on faith that it's true, but also don't just trash the
document without taking the time to verify some points. If you are unable
to corroborate anything in that document, contact me or one of the other
signers and you can try to convince us that what we wrote is untrue in
which case we'll rewrite or eliminate that issue. We believe we can prove
every point in that document.
2) I believe I am a critic of the past *and* a visionary of the future.
My first paragraph is an explanation of why I am running.
There are other candidates with far more
financial background appropriate to leading the credit union than I have.
However, the previous board had equally good credentials and look where
we are now after being lead by the current board. Good financial background
is clearly not sufficient. Some board members *must* have good financial
background. Other board members can bring other necessary traits to the
board.

They wanted me to add the phrase "I believe" twice in the first paragraph.
I said OK, even though they are demonstrable facts, to save everybody's time
and I don't think it makes that much difference.

I think any Nominating Committee supplied words should be 'on the
house'. When you've already slimmed down to 149, trying to slim
down 1 or 2 words can be a real pain.

are in the wrong place.
you dont have to 'I believe' the fact that they implemented a nomination
process...you only have to 'I believe' that it violated a guideline. You
dont have to 'I believe' that it created an IPP, only that it was done
to cover up. for example, wouldnt it sound better like this?

You're right, I should have been more discriminating with what DCU wanted
for a re-wording. Time was short and I had to eliminate 4 words to make
up for the two "I believe" phrases so I couldn't really say clearly what I
wanted to say. I know Patti was incredibly busy so I didn't want to push
her to go back and forth several times negotiating something acceptable to
the nominating committee and myself.
It's also a fact that the process violated a guideline so I
really shouldn't have to have "I believe" in there at all. Perhaps
I was distracted by the euphoria of having most of what I wanted to say
left in! :-)

the following resolution, submitted by Mr. Gillett:
WHEREAS Paul Kinzelman has served two terms as a member of the Board of
Directors of Digital Employees' Federal Credit Union, beginning in 1992 and
WHEREAS Mr. Kinzelman has faithfully served the membership of the credit
union as a Director, and previously as Secretary to the Board of Directors, and
WHEREAS Mr. Kinzelman continued to serve the membership of the credit union
even after changing jobs and relocating to California, and
WHEREAS Mr. Kinzelman has spent considerable amounts of personal,
uncompensated time serving as a Director of the credit union, including
traveling from California to Massachusetts to attend important Board
meetings and planning sessions, and
WHEREAS Mr. Kinzelman devoted numerous hours as a "membership rights"
advocate helping to insure that the individual credit union member is always
considered of utmost importance at DCU, and
WHEREAS following four years of continuous service to DCU's membership, Paul
Kinzelman has chosen not to stand for re-election and in so-doing has given
up his seat on the Board of Directors,
BE IT RESOLVED that the Board of Directors, on behalf of the membership of
Digital Employees Federal Credit Union extend to Paul Kinzelman heartfelt
gratitude for his service to the credit union, and extend to him
congratulations for a job well done, and best wishes for continued success
in his career and future endeavors, whatever they may be, and
BE IT FURTHER RESOLVED that the Board of Directors instructs the Secretary
of the Board to publish this Resolution as part of the July, 1996 Meeting
Minutes.
ADOPTED this 22nd Day of July, 1996 by a unanimous vote of the board of
Directors, Digital Employees' Federal Credit Union, Maynard, MA.
Motion carried unanimously.
