     SUBJECT: Retirement of the Digital AXPpci 33 Motherboards Product Family

This memo announces the EOL of the above Motherboards.  Over the next week, 
you will receive sample letters to use to announce this EOL to your customers 
and a Q & A to help respond to customer questions.

HIGHLIGHTS:

� Digital is discontinuing sales of AXPpci 33 Motherboards with no plans for 
  future manufacture.  A limited supply of this product is available for sale 
  to customers.  Last orders will be accepted until April 25, 1997, with final 
  shipments no later than June 27, 1997.  Account representatives will need to 
  identify EOL requirements with each No Name customer as soon as possible.  
  Product management will begin follow-up activity with account team members 
  beginning February 10, 1997.
                                            
� An EOL final forecast for each customer is due by March 14, 1997.  Since 
  Digital has a limited number of AXPpci 33 Motherboards available, customer 
  forecasts must be broken down by  product variant.  These EOL forecasts are 
  to be sent to the Product Manager and the Area Operations Manager.  The 
  forecast information is to include the number of units, model number 
  required per order number/description, and any unique commitments regarding 
  manufacturing, pricing, delivery, or terms and conditions.
 
� These forecasts will allow Manufacturing and Headquarters to work commits 
  back to geographies based on the contractual obligations we have with our 
  customers.  EOL forecasts received after March 14, will not be included in 
  the EOL planning, and we cannot ensure that we will be able to fill those 
  orders.
 
� The first priority for EOL shipments will be to current contracts.  New 
  customers orders for AXPpci 33 Motherboards at discount prices will be 
  accepted, on an as-available basis, after contractual customers are 
  satisfied.
  
�  Digital will continue to service and support AXPpci 33 Motherboards, per 
   Digitals standard support policy for current contractual customers.

�  The typical AXPpci 33 follow on product will be the DMCC family.  While 
   specifications differ, this product family compares favorably with 
   competitive offerings.

� Customer requirements for product shipments beyond June, 1997, will worked 
  on a case-by-case basis with product management and area operations.
 
AVAILABILITY:

AXPpci 33 Motherboards that can be ordered through April 25, 1997, with last 
shipments available on June 27, 1997.
