    1. Introduction

Welcome to the first edition of the CA-Digital "Alliance for Enterprise
Management" Services News. On a monthly basis, it is our intention to
bring to the worldwide services community up-to-date information and
implementation status reports on this exciting new services opportunity
and relationship between Computer Associates and Digital. The
alliance between Digital and Computer Associates has many elements to
it, chief among them is that Digital has been named as the first
"Preferred Service Provider" for Computer Associates.

This first edition is focused on educating the services community about
the alliance; what the alliance means, what the opportunities are, an
overview of the implementation framework, and who the key contacts and
implementation program managers are within each area and segment.

Future monthly newsletters will focus on key alliance events, status of
implementation activities, and other information about the alliance
    with Computer Associates.

    2. What is the "Alliance for Enterprise Management?"

The "Alliance for Enterprise Management" acts as the umbrella for
collaboration between Computer Associates International (CA) and
Digital Equipment Corporation in a number of areas. Key elements of
    this alliance:

    - Computer Associates has selected Digital as the charter member of
the new "Preferred Service Provider" program, created especially for
    this Alliance.

    - CA will position Digital as the preferred provider of professional
services and maintenance services for CA's portfolio of software
    products.

    - The Alliance for Enterprise Management is one of four major
strategic alliances Digital has established with key vendors, the
other three being Microsoft, Oracle, and MCI

    - Digital and CA have agreed to do joint marketing and sales,
    worldwide.

    - Digital and CA have options to resell each other's products and for
    both to sell Digital-provided services.

    - CA has designated Digital as a "Tier 1" partner for development of
its products, including a commitment to support Digital's 64-bit
    computing environments.

    - CA and Digital have an agreement to collaborate on future product
development for enterprise management solutions, including the
integration of CA-Unicenter and Digital POLYCENTER capabilities, as
well as products and services for the Internet/Intranet markets.

The "Alliance for Enterprise Management" agreement also includes the
transfer of selected POLYCENTER products and associated engineering
resources from Digital to Computer Associates. The POLYCENTER
products being transferred to CA include:

POLYCENTER Console Manager POLYCENTER Performance Advisor for OpenVMS
POLYCENTER Performance Data Collector for OpenVMS
POLYCENTER Performance Data Collector for Digital UNIX
POLYCENTER Performance Advisor for Digital UNIX
POLYCENTER Scheduler for OpenVMS POLYCENTER Scheduler for Digital UNIX
    POLYCENTER System Watchdog
POLYCENTER DECnet Manager for Digital UNIX
POLYCENTER Path Doctor POLYCENTER Console Manager

A list of affected POLYCENTER products and their part numbers will be
made available via the Digital-internal Web site for the services
aspects of the Alliance for Enterprise Management (see Section 8,
    below).

POLYCENTER will evolve into a multi-platform solution and will be
included in CA-Unicenter's open, object-oriented multivendor
management strategy. This protects customers' investments in OpenVMS,
Digital UNIX, and Windows NT platforms.

Key POLYCENTER products for network management, storage management,
server management, and asset management are not being transferred to
CA. These include such products as POLYCENTER NetView, StorageWORKS,
    ManageWORKS, and AssetWORKS.

Digital's services organizations will continue to partner with other
systems management software vendors to complement Digital's and CA's
offerings and to address other customer requirements. The agreement
for Digital services is non-exclusive; Digital's services
organizations will continue to collaborate with key software providers
and offer services for a variety of products, based on market need and
    business opportunity.

    3. What the Alliance Means for MCS and SI

The agreement between Digital's services organizations and Computer
    Associates means that:

    - Digital will offer a comprehensive set of services in support of
    selected Computer Associates products.

    - CA and Digital will sell Digital services for CA products,
promoting Digital as a preferred provider of services to CA's
    customers, worldwide.

    - CA and Digital will develop a joint marketing and selling plan for
Digital-provided services. The plan will include details about
unassisted CA selling of Digital's packaged services via the CA price
book; CA and Digital doing joint selling; CA passing to Digital leads
for more complex solutions selling; and CA and Digital collaborating
    on joint account planning.

Under the agreement, Digital will have the ability to provide
professional services across Computer Associates' entire product
suite. Customers will be able to use a single point of contact,
worldwide, to purchase Digital services for CA products; that single
point may be Digital or Computer Associates. Digital will deliver
support and management services that complement selected CA products,
with an emphasis on product and service combinations that take
advantage of Digital's strengths in networked enterprise computing and
    client/server management services.

    - Computer Associates will resell Digital services.

    - Selected CA partners may resell Digital services and CA products.

    - Other CA partners who sell their own services in support of CA
products will continue to do so, giving customers a wide range of
    choices.

Digital's services organizations gain substantial benefits from this
    alliance, including:

    - Access to leading enterprise management solutions. Together,
Digital and CA can offer more competitive solutions than other
vendors, solutions that are better positioned and better integrated
    than those offered by competitors.

    - Opportunity to leverage CA's robust tool set in outsourcing and
    systems integration deals

    - Opportunity for MCS and SI to pick up new revenue stream from
    growing business

    - Ability to preserve current maintenance services revenue for the
transferred POLYCENTER products, with improved margins for this
business; Digital will continue to sell and deliver services on the
    transferred POLYCENTER products

    - Access to a new direct sales force and CA's large installed base

    - Ability to achieve best reseller rate for CA product

    - Access to joint marketing

    - Access to training investments for sales and service delivery
    personnel

    4. Alliance Services Implementation Program Highlights

The goals of the Alliance Services Implementation Program is to
maximize the revenue opportunities for Digital's services
organizations and to clearly establish our working relationship with
CA and their customers. The program is intended to achieve this goal
by enabling the services organizations to provide services for
appropriate CA products and sell CA products as part of Digital
    services solutions.

The revenue opportunities for services are:

    - Digital can resell CA products under the most favorable terms of
    any partner, reseller, or OEM

    - Digital Services has significant opportunity to provide leadership
enterprise management services: - SI for planning, designing, and
implementing - MCS for maintaining, managing and supporting

The Alliance Services Implementation Program supports four WORLDWIDE
business opportunities for Digital's services organizations:

    - Provide Professional Services for selected CA products, starting
with CA-Unicenter. These services cover the complete Enterprise System
Management life cycle (Planning, Integration, Deployment, Management,
    Optimization, and Outsourcing)

    - Sell CA products through the Digital services organizations if the
product sale is part of a solution sale

    - Provide Product Maintenance Services (SPS Services) in support of
selected CA products, starting with CA-Unicenter; Digital's services
organizations have the ability to provide maintenance services for
more CA products than any other CA partner, reseller, or OEM

    - Continue to provide and expand Product Maintenance Services (SPS
Services) in support of the POLYCENTER products that are being
    transferred to CA

ATTACHMENT: Computer Associates: CA Announces Strategy To Incorporate
OpenVMS Into Total Enterprise Management Solution

CA ANNOUNCES STRATEGY TO INCORPORATE OPEN/VMS INTO TOTAL ENTERPRISE
    MANAGEMENT SOLUTION

    New Life For POLYCENTER Products

    ISLANDIA, N.Y., June 3, 1996--Computer Associates today announced a
broad-based strategy to energize POLYCENTER products acquired from
Digital Equipment Corp. and incorporate OpenVMS into a total
    enterprise management solution.

The announcement comes three days after CA and Digital concluded their
far-reaching alliance to offer comprehensive enterprise management
    solutions to customers worldwide.

In a presentation at DECUS (Digital Equipment Computer Users Society)
in St. Louis, MO., Nigel Turner, vice president of research and
development who is spearheading CA's development activities for
    Digital products, said CA will:

    - Enhance POLYCENTER OpenVMS products and create GUI-based
workstations for management of OpenVMS from Windows NT and UNIX. -
Create an integrated management solution for OpenVMS based on
CA-Unicenter and POLYCENTER. - Extend end-to-end management of an
enterprise to include OpenVMS. - Provide native support for DECnet,
making CA-Unicenter TNG (The Next Generation) the first solution to
seamlessly integrate DECnet, IP and SNA.

"Until now, the OpenVMS community has been a virtual island in the
enterprise management landscape," said Turner. "CA recognizes that
OpenVMS is a key component of most mission-critical computing
environments. We intend to build the bridges necessary to incorporate
OpenVMS into the total enterprise management solution."

    Turner outlined the following initiatives:

    - CA will upgrade POLYCENTER products to the latest versions of
OpenVMS and further enhance them with CA-Unicenter functionality. In
addition, CA will introduce new Windows NT and HTML-based management
workstations for POLYCENTER products to allow administration of
heterogeneous environments from a single desktop.

    - CA will create a new product, CA-Unicenter for OpenVMS, that will
extend to OpenVMS the end-to-end management capabilities of
    CA-Unicenter. Incorporating functionality from POLYCENTER,
CA-Unicenter for OpenVMS will manage OpenVMS from a Windows NT or UNIX
    workstation.

        - CA-Unicenter TNG will become the first integrated management
environment to support virtually every operating system and
network protocol, including DECnet, IP and SNA. Digital clients
will now be able to manage all Digital platforms -- including
OpenVMS, Digital UNIX and Windows NT systems -- as part of their
           total management infrastructure.

"Not only will the POLYCENTER point products continue to exist on
OpenVMS, they will once again become a major focus of attention," said
Turner. "CA recognizes that many clients are successfully using these
tools in mission-critical environments, and we are committed to
ensuring they have a bright future."

CA also announced it is making the CA-Unicenter TNG Software
Developer's Kit available to all clients in support of Digital's VMS
Affinity Program. The SDK has been extended to include a POLYCENTER
integration kit to help clients integrate existing POLYCENTER point
products. A special upgrade program, which includes Digital services,
is also available to help clients migrate from POLYCENTER solutions to
    CA-Unicenter.

Products transferred to CA include POLYCENTER Scheduler, POLYCENTER
System Watchdog, POLYCENTER Performance Solution (Advisor, Data
Collector and Accounting/Chargeback) and POLYCENTER Console Manager.
POLYCENTER software professionals have joined CA.

Under the "Digital-CA Alliance for Enterprise Management" announced in
April, CA and Digital agreed to standardize on a unified enterprise
management environment based on CA-Unicenter, which is already
available on Digital UNIX and Alpha NT. Digital is offering
professional services for CA products worldwide and is authorized to
resell CA-Unicenter, CA-OpenIngres and other CA solutions. CA is
reselling Digital services and supporting Digital's 64-bit solutions
with CA software. The two companies also are collaborating on future
    product development.

Computer Associates International, Inc. (NYSE: CA), with headquarters
in Islandia, N.Y., is the world leader in mission-critical business
software. The company develops, licenses and supports more than 500
integrated products that include enterprise computing and information
management, application development, manufacturing and financial

Subject: "FREE" CA-Unicenter Services Training

Overview: As you know, Digital and Computer Associates (CA) have entered
into a strategic relationship known as the "Alliance for Enterprise
Management".

As part of this strategic relationship, CA has agreed to provide Digital's
Sales, Sales Support, Consulting and Off-site and On-site Service Delivery
resource with training on the CA product suite.

The first phase of this commitment is to train a initial number of "key"
technical support and services professionals to act as members of a "SWAT
TEAM" to support the sale and service offerings on the CA-Unicenter product
until the rest of the organization can come up-to-speed.

There will be a minimum number of students slots for this very important
training to support this business alliance. Managers should select those
employees to attend that will most likely be involved in sales opportunities
and services integration opportunities for this product.

The training is being offered in an East Coast and Mid-West Coast location
to minimize the costs involved in travel related expense.

                                        Regards,

                                        John Travalini

And what a vibrant Web site this is.

The latest edition of the CA-Digital "Alliance for Enterprise Management"
Services News is Edition 1, June 10, 1996. Since the newsletter says

This is the first edition of the Alliance for Enterprise Management
Services News. New editions will be issued on a monthly basis via
Readers' Choice. All editions will also be posted on the
Digital-internal Web site for the services aspects of the "Alliance for
	Enterprise Management."

there obviously hasn't been a lot of activity here.

The latest entry in the Workgroup Web Forum (!) is dated 96/6/21.

The motto "CA: the place where software goes to die" has never seemed more true.

RE .5:

Peter had sent e-mail directly to me asking about the "CA-Digital Alliance
Services News" newsletter at about the same time he posted reply .5.
As I told Peter in my reply to him, more up-to-date information is available
on the web. Here's the scoop:

Edition 1 of the newsletter, and the older web site that is cited in it
(http://www-rpoc.ogo.dec.com/CA/CA_services.htm), were both created
just before the OMS, NSIS, and MCS business units came into existence.
The team of people who were working on the initial plans to implement
the alliance ended up in different business units (I'm in OMS now), and
responsibility for leading the alliance implementation on behalf of the
whole Digital Services Division went to the new MCS business unit.
MCS opted not to continue publication of the newsletter. The "orphaned"
web site has been kept alive only because that's where the one issue
of the newsletter resides. NSIS (specifically, Lester Janes) has taken
the lead on providing service-related information on our internal web.
Presentations, plans, etc. are on the NSIS-sponsored CA Alliance site
at:

http://snobox.chi.dec.com/itops/ca_uni.htm

If you need details about OMS' part in the CA alliance, have a look
at the information available on the OMS InfoCenter at:

http://www-dsd.das.dec.com/oms/par_top.htm#ca

If you have further questions about OMS' part in the CA alliance,
contact Heather MacDonald @MKO, 603-884-2179, DTN 264-2179.

Regards,

   - Bruce
