                 New Computer Systems Division to increase focus on  
           core systems business, simplify structure, meet customer needs 
   
         Digital today unveiled its new Computer Systems Division, which 
   will provide its worldwide customers with a sharpened focus on 
   Digital's core computer systems business and a simplified structure 
   that will play a key role in helping return Digital to sustained 
   profitability. The division was first announced last week by Digital 
   President and CEO Robert B. Palmer.
         Enrico Pesatori, vice president and general manager of the newly 
   created division, explained, "The Computer Systems Division has many 
   strengths to build on, including Digital's huge and loyal installed 
   base of customers, the acknowledged excellence of our technology, and 
   increasingly competitive products and manufacturing capabilities. When 
   focused and harnessed -- with the kind of competitive cost structures 
   Digital has already built in several of our successful business units 
   -- we are confident that these world-class assets will be a major step 
   in helping to set Digital back on track toward profitable growth on a 
   worldwide basis."
         The Computer Systems Division (CSD) has three worldwide business 
   units, each with its own revenue and profit responsibility and each 
   with control over the business functions critical to its success, 
   including engineering and product development, manufacturing and 
   logistics, marketing and communications, business information systems, 
   channel recruitment and support, and sales. The business units are: 
 
         The PC Business Unit,  headed by Bernhard Auer, vice president and 
   general manager; 
   
         The Systems Business Unit,  headed on an acting basis by Pesatori; 
   
         The Accounts Business Unit,  headed by Vincenzo Damiani, vice 
   president and general manager.
       
         "Each of these units will be built around a specific business 
   model that represents the way customers choose to buy in today's 
   marketplace," said Pesatori. 
         The PC Business Unit (PCBU) is responsible for profitably 
   engineering, manufacturing, marketing and selling Digital's PC products 
   through indirect business partners. This unit will continue to build on 
   the growth and success it has achieved over the past year. 
         The Systems Business Unit (SBU) is responsible for profitably 
   engineering, manufacturing, marketing and selling high-volume computer 
   systems through indirect business partners. These products include 
   Digital's Alpha AXP workstations and servers as well as the operating 
   systems and layered software needed to implement open client/server 
   solutions. The SBU will be managed by Pesatori on an acting basis. 
         "As part of the Systems Business Unit, much of Digital's 
   outstanding engineering talent will now be linked more closely with the 
   marketplace and the needs of our customers," Pesatori explained. "We 
   will be working closely with the systems and applications software, 
   systems hardware, and systems engineering groups, previously part of

   the central engineering function, to define the right level of 
   engineering support needed to make the SBU a success." 
         Russ Gullotti will lead Manufacturing and Logistics for the SBU, 
   and will have responsibility for Digital's Customer Value Chain 
   activity and the Computer Special Systems organization.
         The Accounts Business Unit (ABU) will be responsible for 
   profitably meeting the needs of major customer accounts worldwide. From 
   the customer's perspective, the ABU account team will act as an 
   expertise broker in bringing together the right Digital and business 
   partner products and solutions to meet that customer's needs. 
   Besides receiving product and service support from the other business 
   units, ABU account teams and their customers will be supported by 
   technical integration consultants within local Technical Integration 
   Centers around the world. The ABU will be managed by Damiani, who will 
   continue to serve as president of Digital's European operations.
         "The full implementation of these units will take place in 
   stages," noted Pesatori. "The PC Business Unit is already well 
   established and has tremendous marketplace momentum, and that will 
   continue. The Systems Business Unit will be immediately operational, 
   including engineering, manufacturing operations and product segment 
   management. The Accounts Business Unit will undergo a period of 
   transition before being fully operational on Jan. 1. As we migrate from 
   our traditional sales and marketing model into this new structure over 
   the next six months, we will ensure that the Computer Systems 
   Division's contribution to Digital's return to profitability will 
   continue unimpeded.  
         "Throughout this time, our first priority is to continue to 
   support our customers without disruption," Pesatori added. "We are 
   confident that they will be as enthused as we are about this 
   streamlined, simplified approach to providing them with the best 
   products and services that Digital and our partners have to offer." 
         The Area vice presidents will continue to lead sales and 
   marketing through the geography structure until Jan. 1. As announced 
   earlier, Harry Copperman is president of the Americas; Bobby Choonavala 
   will continue as president of Asia Pacific; and Vincenzo Damiani will 
   continue as president of Digital Europe.  All three report to Pesatori 
   in his acting role as head of the Systems Business Unit. 
         The three business units within the Computer Systems Division 
   will be supported by these functions: Product Strategy, Business 
   Strategy, Market Strategy and Communications, Human Resources, and 
   Finance.
         Willy Shih will manage Product Strategy for the division, which 
   will ensure consistency in product offerings that meet market and 
   customer requirements. He will also be responsible for alliances with 
   other industry leaders in key product and solutions offerings. 
         Lucia Quinn will lead the Business Strategy Group for the 
   division, and will be responsible for CSD's long-range planning and the 
   development of business alliances. 
         Carl Gustin, who has headed market strategy for the PCBU for the 
   past six months, will head Market Strategy and Communications for CSD.
         Bob Mulkey will lead the Human Resources function for CSD and 
   will provide overall leadership and direction to ensure that CSD's

   organization objectives are supported by its human resources 
   strategies.
         Tony Wallace will head the Finance function and will be 
   responsible for all of CSD's financial management and decision support 
   activities, as well as for operations planning.                        
         Pesatori has been responsible for Digital's worldwide sales and 
   marketing operations for the past three months. In early 1993, he 
   joined Digital as vice president and general manager of the PC Business 
   Unit. Since that time, Digital has doubled its PC revenues and moved 
   from an industry ranking of 22nd to 12th in PC revenues, and the unit 
   has become profitable.

    re. indirect sales ONLY...  I spoke to a manager who advised me that
    the PCBU will continue as is, i.e.; sales will be indirect AND through
    the Accounts Business Unit.  He indicated that the same will be true of
    the SBU (indirect and thru the ABU)... so why will it take six months
    to implement the ABU?  It seems to me that it would be easily
    implemented today.

                                I am confused.
    
                      When will I know if I have a job?
    
    Who do we report to until Jan 1, our old district manager or the new
    ones who were supposed to start July 5th.
    
    What do I tell my customers who are very distrubed by all this and want
    something concrete for a change?
    
    I was hoping for a better explanation.  Will we learn more in the DVN
    later this week?
    
                 Anybody know any more then this "mushroom"?

    Having had in excess of 5 management changes in under 12 months, I have
    learned one lesson -- when it comes down to it, don't ask, don't
    tell...just keep doing your job well.  Sooner or later, someone will
    come along and claim you as a direct report.
    
    As for what to tell your customers -- they say a sales kit with a
    customer presentation, etc., is winging its way to the field even as we
    speak.  Perhaps it will help put things in a palatable perspetive.  In
    the meantime, just tell them it won't make a major change in the "level
    of service" they receive from Digital -- whether they work with Digital
    directly or through one of our "many, fine indirect business partners",
    they will still receive quality Digital products and services, and the
    attention they deserve.  :):):)
    
    And if they believe that, offer to sell them some oceanfront property
    in southern Nevada to go with the Alpha system!

    The New ABU, part of the Computer Systems Division, is basically the
    Global Accounts, as I read it.  Function is to be "Expertise Brokers",
    whatever that is, but they will be forming into their new metamorphosis
    by January 1.  At that time, the "old" territory VP's disappear and the
    "new" structure takes form.  What we do now, from July until Jan, is
    anyone's guess. Meanwhile forecasts are being asked for by managers who
    won't be employed in a few weeks,and nothing will ever be the same.
    	After 12 years I'm not surprised.  This is pretty much normal for
    July at Digital, only worse.
    	My question is simple:  what exactly is the Technical Integration
    Consultant, and what organization is that part of ??

    of the 20,000 forthcoming job cuts will be in the CSD.

    Sounds pretty familiar.  ABU account teams sell to customers.
    (Let's call it "Sales".)  Sales and Engineering haggle over what
    "product and service support" means.  Somebody technical in the
    field tries to figure out what to do with the pieces.  Arguments
    about who pays for the TIC's, Sales or Engineering. (Sound familiar yet?)
    
    I guess it is different, though.  The TIC's replace the RMC's, which
    replaced the Expertise Centers, which replaced the Competency Centers,
    which replaced ?, ... ;-)
    
    The good news is, I guess, that it *is* the same organization.
    Just smaller.

    Once again, the latest reorganization attempts to define some future
    perfect view of "the ways our customers choose to do business".  On
    whose authority?  The world does not revolve around Digital. 
    
    Ask HP, SUN, IBM, Compaq, and all those other outfits with inferior 
    technology, inelegant solutions, and poorly architected legacy systems.  
    They love what we are doing to ourselves.
    
    When BP was handed the controls, he spoke of how decisions and
    strategies would be based upon facts....that from now on, directions
    would be substantiated by hard data.  3 official attempts - none of
    which were ever fully implemented - are now viewed as "refinements"
    that took place over the past 20 months.  Hardly an endorsement of the
    data upon which those directions were founded.
    
    The results:  continued losses, confused customers, delighted
    competitors.  
    
    (Dont' forget, stock holders, YOUR BOARD OF DIRECTORS UNANIMOUSLY
    endorsed this new twist of an old tune)

         (The following memo is from Enrico Pesatori, vice president and
   general manager, Computer Systems Division, and acting manager, Systems
   Business Unit.)

 When we announced the new Product Management and Development (PM&D) groups in 
 September, we promised to report to you as soon as possible on the next steps 
 in the design and staffing of these organizations.
 
 During the past month, the newly appointed PM&D managers have spent 
 considerable time and energy working with their teams to design this structure 
 and the staffing process.  The accompanying announcement provides substantial 
 detail on the new organizations, how they are being staffed, the critical 
 skills that are required and the process for filling open positions.
 
 This announcement covers the Alpha Systems Business Group and the Open VMS 
 Systems Business Group.  The organizational design and structure for the 
 Software Business Group will be announced in the very near future.
 
 A lot of work remains to be done as we make the complex transition to the new 
 PM&D structure.  We will be looking to you for input and feedback during a 
 series of communications meetings over the next month.  I hope you will take

 Last month, Enrico Pesatori announced the PM&D organization and managers,

 Engineering Group Manager, Compiler Development                 Bill Blake
 Responsible for the design and development of compilers and runtime library 
 components across all Alpha Operating Systems.
  
 Engineering Group Manager, UNIX SDE Development                 Ellen Salisbury
 Responsible for the design, development and refinement of OSF/1 specific SDE 
 tools, compilers and libraries.

 Hardware.  This includes the development of the market/competitive strategy 
 definition for the product segment, identification of and participation 
 in resolving problems that span engineering, product marketing, manufacturing, 
 distribution and field organizations that support the product segment.
 
 Director, OpenVMS Systems Business Pricing and Business Practices Steve Blanchette
 Develops the pricing strategy and manages key pricing and business practices 
 for the OpenVMS Systems Business Group.  This includes hardware pricing and 
 packaging as well as software pricing and licensing on a worldwide basis. 
 
 Director, OpenVMS Systems Business Group Product Marketing      Open
 Functionally responsible for establishing and managing the marketing strategy 
 for the OpenVMS Systems Business.  Responsible for developing a comprehensive 
 marketing plan that emphasizes product/market mix analysis, channel strategy, 
 promotion/advertising, and the design of marketing programs that bridge the 
 three OpenVMS Business Segments.  Interfaces with, and influences, senior 
 managers across the Group, within the OpenVMS Segments and within the rest of 
 Digital.  Coaches and/or influences the entire organization on marketing issues 
 related to strategy as well as the integration of marketing activities (i.e., 
 event planning, product positioning and collateral design).  Regularly works 
 with key customers, VARs and major resellers.
 
 Director, OpenVMS Systems Product Strategy                      Open
 Responsible for leading the development effort of an overall market driven 
 product plan for the OpenVMS Systems Group, and for integrating the product 
 plans of the OpenVMS Business Segments.  Along with the OpenVMS Group Manager, 
 is responsible for presenting Digital's OpenVMS product strategy to our 
 partners and customers.  Represents the OpenVMS Group Manager within Digital at 
 key meetings and with key stakeholders.  Is responsible for building and 
 sustaining an alliance capability that supports the OpenVMS Product Plan.
  

 Manager, OpenVMS Business Operations                    Nora (Grant) Jacobs
 Senior manager supporting the Group Manager in business and operations issues.  
 Responsible for leading the development of the OpenVMS Systems Business Group 
 overall business plan and driving the operational business reviews.

 Responsible for the design and development of the Human Resource plan,
