October 1992 - Bob Palmer takes over Digital helm Early 1993 - wheels in motion to evolve to CBU/PBU organization April 1993 - Ed Lucente joins Digital to lead Sales & Marketing April thru June - CBU Sales org put into place July - Q4 profit announced Sometime in Q1 - Lucente visits his hometowm, Pittsburgh, and doesn't like that there is no level 2 manager in charge October - Q1 loss reported - CBUs put under Lucente's control October thru December - rumors of demise of CBUs January 1994 - Q2 loss reported - it's official, reorg will happen with shift to Lucente's IBM-like geographic org February - new product and SME sales jobs will be posted to increase focus in growth areas March thru April - new org rolls out as planned April - larger-than-expected loss reported - stock plummets - Lucente resigns - layoffs to continue (accelerated restructuring?) At this point it is probably obvious to the most casual observer why we must continue to reorganize... we're just not doing a good job of selling!

I think that .3 has mixed several different stock debacles together here. Yes, Pesatori sold stock (I believe) but the lawsuit is NOT against insider trading, it is against Digital for selling large amounts of preferred stock when they KNEW that the value would fall drastically. In either case the operative word here is KNEW. Besides, wasn't the amount of stock something like 503 shares (@$19/shr is ???)? cw |
