Tecnically, according to the P&P's when I was hired, I will have worked
for Digital for 20yrs on the 4th of July. Sept. 24th is my anniversary
date... add 10 years to that and retirement looks toooooo good to pass
up. I think there are lots of folks in Digital who would fall into the
45+10 calculations.

| I turn 45 on Sept. 20, and have 23+ years in Digital, but if this
new SERP package comes up as rumorred, I'm sure there will be a
stipulation in it that will make me NOT QUALIFIED to accept it!!

RE: LAST TWO.
Points well taken. For some reason, I trust this person. Which is not
to say that he would acknowledge something he was not supposed to.
On the other hand, I do know that such actions are non trivial for
Digital. The groundwork for a SERP must be laid in advance with the
relevant federal agencies; this is not just an internal decision.
I've checked this rumor out each time it has come up, so I write from
the vantage point of someone who would like it to be true.
Unfortunately, it appears that it is not. Note that even in this
file there has been no corroborating evidence. If a rumor is true in
Digital, my experience is that you hear about it from multiple
directions. Are there others who are hearing this rumor? If anyone
else is hearing this one, please share it with us.

| Isn't there a legal restriction on SERP's to the effect that a
subsequent SERP with a better benefit package must be offered to
those who, in the past, were offered a SERP with a lesser benefit
package?

| I guess the content in note 2576 is a clear indication that, if DEC
offeres another SERP it won't be before 1/1/94. Then, if you are
luck you MIGHT or might not get health coverage.

| One thing the military, corporate life in general, and Digital corporate
life in particular has taught me over the years is that you should
never believe any rumor until it has been "officially denied".
