Heute, am 19.12.90, haben die Aufsichtsr�te der Mannesmann AG
und von Mannesmann-Kienzle einem Angebot der Digital
Equipment Corporation zugestimmt, 65 % des Stammkapitals von
Mannesmann-Kienzle zu �bernehmen und in ein neues Unternehmen
"Digital-Kienzle Computersysteme GmbH & Co. KG" einzubringen.
Sitz dieser Gesellschaft bleibt Villingen im Schwarzwald.
Diese Mehrheitsbeteiligung ist Teil eines langfristig
angelegten Konzepts, die Wettbewerbsf�higkeit unseres
Unternehmens in Europa und in neuen M�rkten auszubauen.
Bei der Entscheidung spielte die wachsende Bedeutung des
deutschen Marktes f�r Europa und auf Weltmarktebene eine
wichtige Rolle. Das um f�nf neue Bundesl�nder gewachsene
Deutschland ist nicht nur geographisch ins Zentrum Europas
ger�ckt. Der internationale Wettbewerb um Positionen im
deutschen Markt hat an Sch�rfe zugenommen. Die Vielfalt an
M�rkten und Anwendungsfeldern wie auch eine hohe
Konzentration an technischer und Fertigungskompetenz haben
den deutschen Standort in den vergangenen Jahren deutlich

Die Mehrheitsbeteiligung ist nicht der Beginn einer

Digital Equipment Corporation, Maynard, Ma, USA, und
Mannesmann AG, D�sseldorf, sind �bereingekommen, das
Computergesch�ft von Mannesmann-Kienzle k�nftig gemeinsam zu
betreiben. Der Bereich Datensysteme von Kienzle mit den
Kienzle-Tochtergesellschaften PCS Computersysteme, Procad
GmbH und Kienzle Miete GmbH, das BIT-Schulungszentrum in
Donaueschingen sowie die Vertriebs- und Servicegesellschaften
von Kienzle in Gro�britannien, Spanien, Belgien, Norwegen,
Frankreich, �sterreich und in der Schweiz werden in eine neue
Gesellschaft Digital-Kienzle Computersysteme GmbH & Co. KG
eingebracht. Am Stammkapital dieser Gesellschaft, die ihren
Sitz in Villingen haben wird, werden Digital Equipment Corp.
mit 65 % und Mannesmann-Kienzle mit 35 % beteiligt sein. Die
Vereinbarung gilt mit wirtschaftlicher Wirkung vom 01. Januar
1991.
Die �bereinkunft ist vor dem Hintergrund der j�ngsten
Entwicklungen und des zuk�nftigen Geschehens auf den M�rkten
der Datentechnik zu sehen. Sie sind vor allem gekennzeichnet
von weiterer Internationalisierung, versch�rftem Wettbewerb
und der Bildung gr��erer Unternehmenseinheiten.
Mannesmann-Kienzle mu� im Interesse seiner Kunden, seiner
Mitarbeiter und seiner Eigent�mer diese Entwicklungen
mitgestalten.
Deshalb hat Mannesmann-Kienzle intensive Gespr�che �ber
verschiedene Formen der Zusammenarbeit mit einer Reihe von
Computer-Herstellern gef�hrt. Die Entscheidung zugunsten der
jetzt gefundenen L�sung beruht vor allem auf zuk�nftigen
Gesch�ftsm�glichkeiten und der gr��tm�glichen und
langfristigen Sicherung der Arbeitspl�tze.
Die neue Gesellschaft bietet Digital Equipment Corp.
verst�rkten Zugang zu dem expandierenden Markt der
mittelst�ndischen Wirtschaft und verst�rkt die Position in
Deutschland und in Europa sowie in neuen Anwendungsfeldern.
Im Gegenzug wird die Kienzle Computer Division eingebunden in
die weltweite Vertriebsorganisation von Digital Equipment
Corp. und erh�lt Zugang zu den neuesten Technologien.
Die Beteiligung an Digital-Kienzle erleichtert Mannesmann den
weiteren Ausbau seiner Gesch�ftsfelder auf den Gebieten der
Fertigungsautomation, der Proze�leittechnik, der Pr�f- und
Simulationstechnik und der Telekommunikation.
Zus�tzlich ist eine engere Zusammenarbeit zwischen Mannesmann
und Digital vorgesehen, z.B bei B�rodruckern.
Die getroffene Vereinbarung dient der Erhaltung der
Arbeitspl�tze und der Sicherung des Standorts Villingen f�r
Kienzle Datentechnik. Zur Zeit besch�ftigt Mannesmann-Kienzle
Datensysteme rd. 4.300 Mitarbeiter im In- und Ausland. Aus
Anla� des �bergangs werden keine Entlassungen vorgenommen.
Der soziale Besitzstand der Mitarbeiter bleibt erhalten.
Digital-Kienzle �bernimmt von Kienzle das Werk D in Villingen
und f�hrt dort eine Produktion fort. Procad und PCS
Computersysteme setzen ihre Gesch�ftst�tigkeit fort und
werden durch Anschlu� an das weltweite Vertriebssystem von
Digital Equipment Corp. neue M�glichkeiten erhalten.
Die Kienzle GmbH wurde 1929 gegr�ndet. Ab 1950 trat das
Unternehmen mit automatischen Buchungsmaschinen in die
Datentechnik ein. Magnetkarten-Buchungscomputer und
Bankenterminals waren in der Folge die Erweiterungen des
traditionellen Produktprogramms.
Bei �bernahme von Kienzle durch die Mannesmann AG im Jahre
1981/82 war die Serie 9000 eines neuen Computersystems
marktreif. In den Folgejahren wurden hiervon mehr als 22.700
Systeme produziert. Vorwiegend auf der Basis der Produktreihe
9000 wurden in der Bundesrepublik Deutschland und in weiteren
14 europ�ischen L�ndern 1989 rd. 800 Millionen DM Umsatz
erzielt. Davon entfallen auf das Inland ca. 620 Millionen DM.
Kienzle Datensysteme entwickelt, produziert und vertreibt
komplette Systeml�sungen f�r kommerzielle, technische und
administrative Anwendungen. Zum Kundenkreis z�hlen das
produzierende Gewerbe ebenso wie Handel und Dienstleistungen,
Banken, Versicherungen, �ffentliche Verwaltungen und die
Druckindustrie. Dar�ber hinaus werden CAD-CAM-L�sungen
angeboten.
Neben der Pflege der traditionellen Computerreihe 9000 f�hrt
Mannesmann-Kienzle zur Zeit eine neue Generation auf Basis
des Betriebssystems UNIX in den Markt ein. Begleitet wird
dieser Generationswechsel von einem umfangreichen Angebot an
standardisierter und kundenspezifischer Anwendungs-Software.
Die Digital Equipment Corporation wurde 1957 gegr�ndet. Sitz
der Gesellschaft ist Maynard, MA, USA. Das Unternehmen ist
einer der f�hrenden Computerhersteller der Welt. Mit mehr als
120.000 Mitarbeitern erzielte Digital Equipment Corp. im
Gesch�ftsjahr 1989/90 einen Umsatz von weltweit 12,95

The first part is a message to all employees from J�rg Rieder, the managing

He announces that Digital offered to take over 65% of the basic capital of
Mannesmann-Kienzle which will be reconstituted on 1 January as a new company:

DEC, Maynard, and Mannesmann, D�sseldorf, have agreed to the future common
operation of the computer business of Mannesmann-Kienzle. The Data Systems
Division of Kienzle with the subsidiaries PCS Computersysteme, Procad GmbH,
and Kienzle Leasing GmbH, the Office Information Technology Education Center
in Donaueschingen as well as the sales and service divisions of Kienzle in
Great Britain, Spain, Belgium, Norway, France, Austria, and Switzerland will
be incorporated in a new company "Digital-Kienzle Computersysteme GmbH & Co.,
KG". Digital Equipment Corp will own 65% of the resulting company; Mannesmann-
Kienzle will own the remaining 35%. This is effective on 1 January 1991.
Mannesmann-Kienzle has been looking for a buyer. The decision for the
present solution is mainly the result of future business opportunities
and the long-term security of the employees positions.
The new company offers Digital stronger access to the expanding small
business market and strengthens its position in Germany and Europe as
well as in new application areas.
In return, Kienzle's Computer Division will be bound into Digital's
worldwide sales organization and will receive access to the newest technology.
Digital-Kienzle will take over from Kienzle "Factory D" in Villingen (south-
western Germany, between Stuttgart and Freiburg) and will continue production
there. Procad and PCS will continue operations and obtain new opportunities
through Digital's worldwide sales organisation.
Kienzle GmbH was founded in 1929. Beginning in 1950 the company moved into
office automation and point of sale systems. At the time of the takeover by
Mannesmann in 1981/82 the Series 9000 computer was ready to go to market.
In the following years more than 22,700 systems were produced. In 1989
Mannesmann-Kienzle had sales of about DM 800,000; 620,000 within Germany.
Kienzle Datasystems develops, manufactures, and sells complete system
solutions for commercial, technical, and administrative applications.
Next to the support of the traditional 9000 series, Mannesmann-Kienzle is
presently introducing a new generation of UNIX-based systems.
DEC was founded in 1957 and is located in Maynard, MA, USA. The concern
is one of the world's leading computer manufacturers. With more than 120,000

More than 50% of the income comes from about 80 countries outside the U.S.

Corporation announced today that it has reached agreement with
Mannesmann AG to acquire 65 percent of a new company to be formed
from the Mannesmann Kienzle Computer Systems Division, and the
PROCAD GmbH and PCS GmbH divisions of Mannesmann Kienzle.
Mannesmann AG will own 35 percent of the new company.
The new company, headquartered in Villingen, Germany, will be
called Digital-Kienzle Computer Systeme GmbH & Co KG, as soon as
the necessary regulatory approvals are obtained.

I'd prefer to think that we now have a stronger base to protect
the futures of the company & current employees. If the aquisition brings
in stronger people or skills than we have elsewhere, then that may be a
risk to existing staff -- but that's a debate that should not be the
first issue to surface. I'd suggest the first issue is information on
how we can use the new company to improve penetration & profit.
Any perceived risk should not be created by headcount, but by comparitive
competence -- & I, for one, do not have reliable (or any!) info to make the
comparison.

�What are these products,
Mannesmann-Kienzle manufactures a product line called "MPS 9000" (MPS
stands for Multi Processor System). It was introduced in 1982 (I think)
- I don't have the slightest idea what the HW architecture is. I think
they run under U*ix nowadays, and could be positioned somewhere in the
low-to-medium VAX range, I guess.
I have no idea either what percentage of their revenue came from these
computers. The more interesting part of theri HW products (my guess)
are their banking peripherals (passbook printers etc.) which seem to be
very popular in Europe.
�and how do they drop out of the hardware business without layoffs?
Good question. I don't know.

That's not what the original press release in .1 says. It makes it quite

The announcement of the agreement between Mannesmann
and Digital has led to a deluge of irresponsible
speculation in which employees of the company have
been and are actively participating. This is decidedly
detrimental for the process of cooperation and for our
public image.
For this reason, during its meeting today, the Germany
Management Team (GMT) has decided to declare the entire
topic "Digital-Kienzle" to be the responsibility of
management, effective immediately and until further notice.
No employee, except for the GMT or persons personally
appointed by the GMT, is authorized to make any public
comments on the topic "Digital-Kienzle". Violations of
this decision will be viewed as a serious breach of
confidence and will be punished accordingly.
Please, all of you, be responsible and help us to not
squander out of ignorance and pomposity the great opportunities
that this agreement with Mannesmann opens to us.
All external inquiries must absolutely be referred to
Fritz Nollert in the PR department.

Die Bekanntgabe der Vereinbarung zwischen Mannesmann
und Digital hat zu einer Flut unverantwortlicher
Spekulationen gef�hrt, an der Mitarbeiter des Hauses
aktiv beteiligt waren und sind. Das ist f�r den
Proze� der Kooperation und f�r unser Bild in der
�ffentlichkeit ausgesprochen sch�dlich.
Das GMT hat deshalb auf seiner heutigen Sitzung
beschlossen, das komplette Thema "Digital-Kienzle"
ab sofort bis auf weiteres zur absoluten
Chefsache zu erkl�ren. Kein Mitarbeiter, au�er dem

What sort of "irresponsible speculation" has been going on? Why isn't
management just responding with correct information? If the purpose of
this memo was to increase speculation and decrease confidence in management
it has certainly been effective. I simple reminder that external inquiries
on all topics are to be handled by official Digital spokespeople should
have been sufficient. I see memos all the time announcing that so and so
is calling around looking for information and reminding people where to
send them. None of them have the sort of tone in .10.
BTW, who is J�rg Rieder? I can't seen to find him in my management chain. :-)

PS: My German is not half as good as John's but I did try and read the German
version and didn't find anything to indicate that he's got the tone wrong.
Is this considered a friendly memo in Germany?

J�rg Rieder is the boss of DEC Germany (and therefore can't be found in
your management chain but can be found in mine...).

press, at least the stuff that I read. Does anyone have an example of

This memo of course in no way affects discussions in this notes conference.
HUMANE::DIGITAL is not a public forum. It is DEC-Internal. It is absolutely
the case, as the author of the memo in .10 states, that public comment on this
or any other DEC issue should be left to the official spokespeople of the
Corporation.

of Digital-Kienzle Computersysteme GmbH & Co. KG, a German entity in which
Digital acquired a 65% interest from Mannesmann AG for $233,261,000. The
acquisition has been accounted for as a purchase. On December 20, 1991, the
Company acquired the remaining 35% interest in Digital-Kienzle. The
consolidated results of operations include the full-year operating results
of Digital-Kienzle for fiscal year 1992, and six-months results for fiscal
year 1991."
