 DEC Executives - Sell stock in March
   [Note that the article mailed to me didn't give any indication of how
	many executives, if any, bought Digital shares during the same time
	period. Note also that company executives have restrictions on when
	then can sell their stock. - TT]

 In all, seven VPs sold 18,496 shares for $3.1 million.  That's an average of
 $168.54 a share, only a hair shy of DEC's peak of $172 7/8. Among the officers
 selling the most: William R. Johnson Jr. sold 5,703 shares for $170 each and
 now hold 156; Richard Poulson sold 4,125 shares for $166.13 each and holds
 256, and Harvey Weiss sold 2,000 shares for $170.88 each. He's left with 243
 shares.

I can't believe that these people each have less than 300 shares of 
DEC Stock. I wonder if they were exercising Options ???

    I don't know, they may think the same as I do - while Digital stock
    may be a good investment, it makes good sense to spread your nestegg
    among various baskets.  Figure that those numbers indicate total
    proceeds in the $300k to $900k range, with a good chance they represent
    purchases made at significantly lower prices, and it may just be
    a decision to lock in profits at an acceptable level.
    
    My own accountant advised me to do so last fall by selling at $97/share
    stock that I purchased in the open market at $85/share.  Thankfully
    I ignored his advice and recently cashed out for other purposes
    - but it shows that an independent financial adviser considered
    a $12/share profit (in 3 months!) to be enough.  I would assume
    that our top execs get options, etc. at a good price and probably
    did much better.
    
    Also, they may know that they have other options coming up in the
    near future, so the holdings in the 200 - 300 share range may be
    temporary low.  Then again, they may not...

    That would be nice, (I have heard the same rumor) however if would
    be nicer if they announced it before the ESOP distribution so some
    of us could decide what to do with the distribution.

    It's probably worth pointing out that corporate officers
    are not allowed to sell stock any time they please.  The
    SEC regulates their trading.  No doubt the current high
    price on DEC stock is one factor, but *probably* this is
    coincident with a period during which officers are allowed
    to take some profits.

    It is also standard practice for executives with Large stock Options
    to finance the exercise (purchase) of such options by selling shares
    they already own. The next prospectus should report their current
    holdings.

	Today a more pressing question is why the stock has lost 20 points 
over the last few weeks.  Is there some market factor related to the 
approaching stock plan buy date?  I haven't heard any financial gurus 
bad-mouthing us.

    On the 22nd DEC was 'highly' recommended as a buy and the price
    jumped up over 5 points.  DEC's a weathervane for the market which
    also dropped over 'the last few weeks'.
