    What is the strategy if we go to the TeMIP framework/OSF1 ?

The specific AMs for Bridge, FDDI, ... were not ported to OSF/1.

This is because today most of these equipments are manageable via
SNMP or DECnet.

The strategy is then to use the standard AMs to manage this.

	In today's client/server environment, easy and transparent availability
	of data and applications from anywhere on the network requires that
	the entire system run smoothly, consistently, and efficiently. This
	requires a high level of management sophistication and integration of
	the network, system, storage, and database administration tools.

    	The POLYCENTER vision is to simplify the vastly complex arena of
	client/server data management functions via cross-platform data
	management tools that are transparent to the user.  These tools assist
	the desktop user as well as network and systems management operations.
	This vision is made possible by the integration of the POLYCENTER
	portfolio of management products. 

	The first priority of the POLYCENTER products is to support Digital 
	system sales by enhancing the reputation of Digital's systems through 
	superior manageability.  Since Digital frequently sells systems into 
	competitor and mixed-vendor accounts, the second priority for the
	POLYCENTER products is to support this open, client/server environment
	through the ability to manage multivendor UNIX and PC systems from a 
	Digital POLYCENTER solution.

	  Q1	The competition is telling my customer that Digital is
		getting out of the network and systems management business.
		What should I tell my customer? 

	  A1	Network and system management solutions are a critical
		component of Digital's systems business and acceptance
		of Alpha AXP products in the market.  Management is key
		to wide-scale adoption of integrated client-server
		computing.  Digital's POLYCENTER solution is an integrated,
		open approach to managing distributed enterprise systems and
		networks based on international standards.

		Digital is committed to providing the management capabilities
		offered in the POLYCENTER portfolio and extending those
		capabilities through direct Digital engineering investment
		and through acquisition and/or availability of third party
		products.

	  Q2	How does POLYCENTER strategy fit with Digital's Software 
    		Strategy?

	  A2	POLYCENTER products implement the management solution for the 
		open client/server environment.  They serve as a foundation
		element of Digital's Software Strategy providing the
		management of the networks and systems upon which
		customers' software applications are running.

		CA-Unicenter to Alpha AXP platform for those customers who are

		found in IBM mainframe environments. This set of system 
		management tools will be integrated with POLYCENTER Manager on
		NetView.

             	ManageWORKS is targeted at the workgroup environment
                and manages PC LAN/NOS environments.

                The POLYCENTER portfolio includes the ManageWORKS product. 
                While the POLYCENTER portfolio is targeted  broadly at the
                enterprise and manages heterogeneous, multiprotocol
                client-server environments, ManageWORKS focuses on
		providing management solutions for PC LANs.

                TeMIP is targeted at the Telecom providers and
                manages large-scale voice/data network utilities.

	1.1  POLYCENTER NETWORK MANAGEMENT PRODUCT BACKGROUND

   	POLYCENTER Network Management keeps the network available and
	minimizes the impact of downtime on user productivity.  The
        solution includes capabilities of automatic discovery and mapping,
        network performance monitoring, fault and security management.  The 
	POLYCENTER Network Management suite includes:

 		POLYCENTER Manager on NetView(tm) 
 			[commonly called POLYCENTER NetView, or PNV]
		POLYCENTER DECnet Manager on NetView
		POLYCENTER PathDoctor
		POLYCENTER Network Manager 200/400 and options

	HUBwatch(tm) and PROBEwatch are related network management products 
	from the Networks group, and TeMIP(tm) is a related network management 
	product targeted at Telecommunications Industry customers and
	managers of large-scale voice/data network utilities. 

	POLYCENTER Manager on NetView and POLYCENTER DECnet(tm) Manager on 
	NetView, now both available for DEC OSF/1 AXP, are an unbeatable 
	combination for automated SNMP and DECnet management.   POLYCENTER 
 	NetView is the exact same source code are IBM's NetView/6000, also 
 	called NetView for AIX.  Both POLYCENTER NetView and NetView/6000
 	are based on HP's OpenView(tm) and contain its APIs, but have
        the advantage of the top-rated, most intuitive user interface 
        in the industry.  These products will provide the next generation 
	for integrating system and network management applications.   The 
	outstanding performance of these POLYCENTER network management products
	has been recognized by industry analysts, such as Gartner Group.

    	Digital continues its strong commitment to the POLYCENTER
    	NetView products and the NetView Association, the partnership 
	of Digital and IBM to attract developers of management applications 
	to the NetView platform.  Over the coming year Digital will focus our 
	NetView Association efforts on attracting the most competitive 
|	network management applications to the OSF/1 AXP and Windows NT
|	platforms.

	1.2:  POLYCENTER NETWORK MANAGEMENT PRODUCT STRATEGY

	A. PLANNED FUNCTIONALITY & PLATFORM SUPPORT

     	In addition to the currently shipping OSF/1 product, Digital 
|       is excited about announcing the comprehensive POLYCENTER 
|	NetView solution on Windows NT, available this year.  This PC-
	based network management solution complements the strategy for OpenVMS 
	systems, which is to manage systems from a PC desktop.  Managing 
	the OpenVMS environment from PNV on Windows NT allows customers to more 
	productively manage their OpenVMS environments and to enjoy a large 
    	and expanding portfolio of management applications not 
    	available from POLYCENTER Manager 200 and 400 (formerly known
    	as the DECmcc product family).
    	
	B. POLYCENTER NETWORK MANAGEMENT PRODUCT POSITIONING

        Digital has committed support of the POLYCENTER Network Manager
    	200 and 400 product line to assist customers in their migration to 
        POLYCENTER DECnet Manager on NetView.  We will continue to provide 
    	support to customers to assist them in transitioning production 
        environments while we continue to add new functionality to the 
        POLYCENTER Manager on NetView portfolio.
    
    	In order to address the needs of the Telecommunications industry 
    	and large corporate voice/data network managers, Digital has produced 
    	and continues to aggressively invest in its TeMIP (Telecommunications 
    	Management Information Platform) solution.  

        POLYCENTER PathDoctor, introduced this year, is first in

        1.3:  POLYCENTER NETWORK MANAGEMENT Q & As

 	  Q1	What is Digital's commitment to being in the network 
 		management business ?  Will this agreement end up like
 		IBM's agreement to use OpenView ?

 	  A1	Network management solutions are a critical component of
 		client/server systems, including those using Digital's 
 		Alpha AXP products.  Digital and IBM are now jointly offering
 		the identical leadership network management platform, as a
 		result of our product development and marketing partnership.  
 		This partnership is built upon an on-going relationship of 
 		shared expertise that is mutually beneficial for both
                companies.  This relationship makes it is very unlike the 
                IBM/HP transaction of a one-time source code licensing of 
                OpenView V3.x three years ago.  IBM has used that 
 		technology to create their NetView/6000 product.

 		In addition to the quality enhancements that IBM has made
 		to the OpenView product, IBM has also developed a new
		GUI that has now won industry awards for its ease of use 
 		through the addition of the Tool Palette, Navigation Tree, 
 		Control Desk, and a robust event handling system.
 		The fact that IBM has chosen not to enter into another 
 		agreement with HP is indicative of nothing more than 
 		IBM's NetView/6000 being a superior product, and the new 
 		features of OpenView V4.x being largely duplicative of the 
 		features already in NetView/6000.  

 		The Digital-IBM partnership covers joint development, and
 		enhancement of the NetView/6000 product, along with our jointly
 		sponsored NetView Association.


          Q2	Is there any truth to the rumors that IBM and Digital
		have diminished their support for the NetView Association
		ISV program?

          A2	No, IBM and Digital continue to fully support the NetView
 		Association, particularly the technical support provided to
 		associates and to direct customer activities. Further, 
		the expansion of NetView platforms (OS/2, Windows NT and SUN)
 		by IBM, Microsoft, and Digital has now succeeded in 
 		providing the largest number of applications on any platform, 
 		per industry analysts (Gartner Group) and consultants 
 		(Brandywine Assoc.) at Interop '94.

          Q3 	How will POLYCENTER products help my customers manage their 
    		non-Digital network objects (e.g., CISCO routers, SNA 
    		controllers)?

          A3 	Digital does recognize the importance of being able to
		manage all the components in customers' heterogeneous
		network environments.  That was a key reason for the
		adoption of the leading industry-standard management
		framework (NetView), which is enabling Digital to grow its
		portfolio of third-party network management applications as
 		fast as possible.  Various SNA applications are available 
 		today, and are listed in the Aug '94 issue of the 
 		"NetView Association Catalog".  Other applications are
 		under discussion, but it is not possible to pre-announce 
		such relationships until all contracting is complete.  We 
                expect to continue expanding the portfolio in FY95. 
    	
    	  Q4	When will POLYCENTER Manager on NetView be available for
    		OpenVMS systems?

          A4 	The POLYCENTER strategy for managing OpenVMS network 
    		elements has been adjusted to be consistent with the 
|    		overall OpenVMS management strategy.  OpenVMS has now
|		started shipping the OpenVMS Management Station which
|		enables of one or more VMScluster systems from a single 
|		Windows-based PC. This is the model for OpenVMS system 
|		management for the future, and will be bundled in v6.2.
|		Thus POLYCENTER NetView running under Windows NT also with a 
|		state-of-the-art user interface is the preferred approach for
|		network management of VMS-based environments.    This solution
|    		will allow use of the large and increasing numbers of 
|	  	third party network management applications are on UNIX today 
|		which we expect to move to Windows NT.  It is not cost-effective
		for this broad base of these vendors to port their applications
 		to OpenVMS.  As a result, customers will have more complete
		solutions and options available on UNIX and NT platforms. 
                POLYCENTER NetView will focus on UNIX and NT and, therefore, 
 		will not be available on OpenVMS AXP.
 
		DECnet and DECnet-managed devices are all manageable using the 
		POLYCENTER DECnet Manager.  This is an optional product on 
		top of POLYCENTER NetView, which is shipping today on OSF/1, 
		and next year on NT.

    		Thus, Digital recommends that OpenVMS network
		management be done from a PC platform, specifically
		POLYCENTER NetView and DECnet Manager on Windows NT.

    	  Q5	When should customers migrate from DECmcc and MSU?

    	  A5	Customers running POLYCENTER Network Manager 200/400 or
		POLYCENTER SNMP Manager 300 (formerly DECmcc and MSU,
		respectively) are encouraged to migrate to POLYCENTER  
		NetView to take advantage of the rapidly growing suite 
		of industry-leading applications that is available.

 		TODAY, there are migration packages available for existing 
 		customers to move to POLYCENTER NetView & DECnet Manager  
 		currently available on OSF/1.  The price of all the POLYCENTER 
 		NetView & DECnet Manager software licenses is $5,000 (U.S. CLP)
 	        through the end of 1994, when this introductory price ends.
|		This is currently a 75% savings !  And, if customers have an 
|		LPS service contract for DECmcc or MSU, the license price is 
|		$2,500 (U.S. CLP) !  We suggest that customers either take 
|		advantage of this offer to go to OSF/1, if possible, or wait 
|		for the NT offering which will ship early next year.  Systems 
|		with this software pre-loaded are also available at attractive

|		next year, but at a higher price. 

    		This allows customers to try POLYCENTER Netview and DECnet

          Q6	What is the status of POLYCENTER SNMP Manager 300?

          A6	The POLYCENTER SNMP Manager 300 (aka MSU), is no longer 
		available for sale, but continues to be supported through 1995.
 		Customers have been notified in writing of this date.

     	  Q7	Will DECmcc be available on DEC OSF/1 AXP or OpenVMS AXP
 		platforms?  Or, has DECmcc been retired?  

 	  A7 	No. DECmcc as a product will not be available for sale 
 		on OSF/1 AXP or OpenVMS AXP systems; and DECmcc has not
 		been retired.   POLYCENTER NetView is available on OSF/1 AXP 
    		and will be available on Windows NT to meet the needs pre-
    		viously addressed by DECmcc on OpenVMS VAX and ULTRIX.
 		POLYCENTER NetView on Windows NT is the recommended solution 
 		for management of an OpenVMS network, along with the new 
 		OpenVMS Management Station on Windows.  This solution provides 
    		an integrated, consistent look-and-feel for all OpenVMS 
    		management utilities, such as user account management.  We 
    		will work with customers on an individual project basis to 
    		help them migrate to POLYCENTER NetView when they are ready

		and supported on the OpenVMS VAX and ULTRIX operating systems.

    	  Q8	What is the relationship between the POLYCENTER 
                Manager on NetView products and TeMIP ?

	  A8	POLYCENTER NetView is Digital's strategic solution for 
		managing data networks for client/server environments.  
    	  	TeMIP is Digital's strategic solution for management of very
		large Voice/Data networks particularly found in the Telecom- 
 		munications Industry. TeMIP will continue to be based on 
		the current EMA (Enterprise Management Architecture) - DECmcc
		based kernel for the foreseeable future due to the richness

|		POLYCENTER DECnet Manager provides support for devices that use
|		DECnet management protocols.   DECnet Phase IV, DECnet/OSI, 
|		DEC bridges, and terminal servers are all supported 
|		V1.0 has been shipping since June '94. V2.0 is planned to 
|		ship December 94 and will include enhancements
|		to current features as well as fuller DECnet/OSI support.

|		POLYCENTER PathDoctor is an interactive SNMP-based network 
|		management software diagnostic tool.  It assists users in 
|		evaluating the health and performance of IP routing paths 
|		between specified TCP/IP address pairs, by using a rules 
|		library and knowledge of vendor's private SNMP extensions 
|		to diagnose a number of typical routing problems.  PathDoctor 
|		is particularly adept at determining routing problems and 
|		inefficiencies for Cisco, Wellfleet, 3Com, Proteon, Digital, 
|		and IBM routers.  $2,000.

|		HUBwatch is also a POLYCENTER product and has always been
|		integrated with MCC.  HUBwatch has just become available 
|		on OSF/1, integrated with NetView, and on DOS/Windows. It 
|		was shown at Interop, Sept 94, and shipped in October.  $2,615

|		Probewatch is an RMON product that'll be available on OSF/1
|		in January '95.   This is based on Frontier technology. $3,250

|	 Q:	Will NetView be able on Windows NT ?  Intel or Alpha ? 
|
|	 A:	POLYCENTER Manager on NetView for Windows NT (PNV NT) will be 
|		available on the Alpha AXP and Intel platforms.  This product 
|		is a full-scale enterprise network manager running in an SNMP 
|		TCP/IP environment on Windows NT.  Unlike our competitors, 
|		this is *NOT* a DOS based LAN manager that has been ported to
|		Windows NT, rather, it is the first 'industrial strength' 
|		enterprise manager on Windows NT.  "Industrial Strength" refers
|		to 'Enterprise Management' & having the capability
|		to manage from one end of the spectrum to the other....  from 
|		low-end DOS oriented LANS to high-end SNMP/CMIP WANS...

|		At COMDEX, November 94, Digital announced the Dec 94 
|		availability of an SDK for developers in the NetView 
|		Association interested in NT.   This product is appealing
|		to both DOS and UNIX application vendors, ensuring that NT
|		will provide a rich management environment for customer's
|		enterprise - both Corporate IP/DECnet networks and LAN 
|		networks.  This product will be available in H195, and ship
|		on both Intel and Alpha processors.  No pricing is available 
|		yet, though we expect it to have an attractive price.

|		When released for general availability in 1H95, POLYCENTER 
|		NetView for Windows NT will have very similar functionality 
|		to that of Digital's PNV OSF/1 offering.  The user interface 
|		is being redesigned to take full advantage of the Windows 
|		platform while preserving the existing user interface that 
|		makes our UNIX product the leader in the industry.  Digital 
|		anticipates the price of this product will be under $10K.

|	 Q:	Will/Is NetView intergrated with Microsoft's SMS (Hermes) ?  
|		How would you compare them ?

|	 A:	PNV NT will be integrated with Microsoft's Systems Management

|		providing capability for hardware/software inventory management,

|		DME developed, however the lack of deliverables and market 
|		acceptance has been a problem.  Digital holds a chair 
|	  	position of the complaince committee, and continues to be 
|		active with OSF on DME matters.  Digital and IBM will evaluate 
|		the benefit of the NMO product and integrate some or all of it
|		into NetView if that is appropriate.  Digital does not plan 
|		to use the DME services that were released.  It is using 
|		alternatives which meet the customer's needs as of today.  If
|		DME services gain substantial market acceptance, Digital may 
|		elect to offer them.

|	Q:	What's the advantage of NetView for network management 
|		over HP's OpenView?  Isn't NetView based on OpenView?
|
|	A:	POLYCENTER Manager on NetView and NetView 6000 are based on core
|		capabilities provided by OpenView.  But IBM and Digital are 
|		providing very significant enhancements over OpenView 
|		capabilities.  Because the APIs are a superset of the OpenView 
|		APIs, NetView is a richer, more robust SNMP manager.  NetView 
|		has been rated as having the best graphical user interface 
|		in the industry. There is much more capability to integrate 
|		ISV applications with NetView through the APIs. The NetView 
|		Association is a tremendous plus. So are Digital's other 
|		POLYCENTER products. With ALPHA AXP, performance will be the
|		best available.  NetView has excellent filtering and 
|		thresholding features which allow true exception control 
|		of the network environment.  NetView allows for a common 
|		integration point for both system and network applications.

| Responding to customer and industry requirements for access to multiple 
| databases in multivendor networks, Digital has upgraded its POLYCENTER 
| Manager on NetView for DEC OSF/1 with the capability to seamlessly 
| integrate management data with customers' choice of leading databases.  
| Now customers can use their existing relational database product(s) to
| analyze, report and present topology, statistics, and event information
| tailored to their own needs.

| In many customer networks, various applications execute on diverse
| networks, drawing data from Rdb*, Informix***, Ingres***, Oracle***
| and/or SYBASE*** database applications.  The new release of POLYCENTER
| Manager on NetView for DEC OSF/1 exports data to these databases. 
| It populates this management data repository, with collection 
| controlled through its award-winning graphical interface.  Using 
| this database client/server capability, data can be placed anywhere 
| within the enterprise -- and it can be accessed across various sites 
| in the enterprise.

| In addition to supporting all of the most popular client/server databases, 
| access is provided to all of the critical management data including

| access was only available to topology information. With open access and

| Manager on NetView. When one network manager is brought down due to a 
| shift change, manager console failure, or for providing "follow the sun"
| global coverage, another console can be brought up automatically to 
| manage a specific subnet. This new "take-over" function minimizes the 
| effects of hardware failures and affords enhanced flexibility to 
| accommodate various customers' unique management needs and preferences.

| When used with the new open relational database support, this "take-over"
| feature provides the commercial-strength management capabilities which
| are required for running critical business applications in the multivendor 
|client/server environment.

| The performance, discovery features, and award-winning graphical user 
| interface of the POLYCENTER Manager on NetView have been significantly
| improved. Customers will benefit from significant improvements in operational 
| performance of non-IP and IP discovery, display, and management. In addition, a
| new Systems Performance Monitoring tool provides monitoring of the
| POLYCENTER Manager on NetView for DEC OSF/1 workstation resources and

	It provides methods to undo file modifications, redo file modifications

	methods can be used in an application to protect the integrity of that 
	application's data.

	POLYCENTER File Optimizer for OpenVMS VAX and OpenVMS AXP provides
	for defragmentation of magnetic media and performance optimization.

	StorageWorks RAID Software for OpenVMS provides software RAID 0 
    	(striping) for performance enhancement, and RAID 5 for increased 
    	data protection and availability. StorageWorks RAID Software for
    	OpenVMS provides volume partitioning to optimize customer
    	configurations and integrates with Volume Shadowing for
    	OpenVMS.  StorageWorks RAID Software provides a superset of

    	from one system ( workstation or server) to optical and tape media on
    	the HSM server when the client file systems exceed capacity.

    	Several new products are planned for introduction in FY95, 
    	first on VAX platform, followed by Alpha AXP platform six months

	POLYCENTER Save Set Manager is a new utility which will allow for
	validation, copying and merging of OpenVMS save sets.  This latter
	capability is an innovative way to merge an incremental save sets into
	other incremental or full save sets -- dramatically reducing the
	number of full backups required, and reducing operations staff,
	and increasing data availability.

	POLYCENTER Archive Backup (improved version of Storage Library
   	Services) is planned to improve usability of our  backup offering, 
       
    	StorageWorks Desktop Backup/Archiver will deliver OS/2 client
    	support in Q2 FY95,

	In addition, Digital is working with third parties to provide hetero-
	geneous client capabilities for backup/archive into the VMS server
	environment.

    	Capacity Expansion for OpenVMS
    	------------------------------
	POLYCENTER Hierarchical Storage Manager which will provide dramatic 
	increases in storage capacity by providing transparent migration of 
	files between magnetic disks and tertiary media (e.g. DLT).

    	POLYCENTER Sequential Media Filesystem will provide access to 
    	tape and other sequential media for customers who have
    	applications tuned to direct use of sequential media.  This is a key
    	capability for mainframe downsizing, as well as for logging in
    	data acquisition applications, and data storage in high
    	capacity data applications.

	B.  POLYCENTER STORAGE MANAGEMENT PRODUCT POSITIONING

	These capabilities are complemented by the broad range of OpenVMS 
	clustering capabilities on both the VAX and AXP platforms as well
	as in mixed architecture clusters.

	broad range of platforms across the enterprise network.  An easy-to-use
	central	management console provides functions for automated hardware
	and software inventory, centralized distribution of new software,
	management of shared applications loaded on network servers, remote 
	troubleshooting and control of PC's and workstations, and network
	protocol analysis. 

    	As program announced, POLYCENTER AssetWORKS V1.0 will extend 
    	Microsoft's Systems Management Server (aka Hermes), providing 
    	functionality for the widest range of PC (Windows, MS-DOS, 
    	OS/2, Mac) and enterprise platforms (OpenVMS, ULTRIX, OSF/1, Windows 
    	NT, and Sun OS), across industry leading network protocols (TCP/IP,
	DECnet, SNA, IPX, NetBEUI, RAS).  In addition, AssetWORKS complies
	with industry standards:  the Desktop Management Task Force standard
	for collecting information from desktop devices (called DMI/MIF) as
	well as the SQL industry standard for its database. 


    	Digital will be a Microsoft Authorized Solution Provider for 
    	Microsoft Systems Management Server.  Digital's Multivendor Customer 
    	Services organization will complement the Configuration Management 
    	product offerings with a suite of services, including Process
 	Evaluation, Implementation, and Inventory Management and User
	Support Services.

    	Development of other products in the Configuration Management portfolio
    	continues.  Software Distribution V3.0 recently shipped with support 
    	for distribution to OpenVMS and ULTRIX systems from an OpenVMS AXP 
     	server. In October, 1994, POLYCENTER System Census will ship server, 
 	agent, and Motif user interface that support OpenVMS AXP.  POLYCENTER 
 	System Census for PC LANs extends the ability to audit systems to 
	the PC LAN (Windows consolidator; Windows, MS-DOS, OS/2, and Mac 
	clients).  The two System Census products are integrated and can be 
	combined into one inventorying solution.

    	Other FY95 product development work includes the next versions of 
    	POLYCENTER AssetWORKS, with extension of hardware/software platform 
     	management to include other major UNIX platforms (e.g. HP UX, IBM
 	AIX, and Sun Solaris), integration with POLYCENTER Manager on 
	NetView for application launch from and event notification to the 
 	PNV console, as well as software metering (usage). 

	B. POLYCENTER CONFIGURATION MANAGEMENT PRODUCT POSITIONING

    	The POLYCENTER Software Distribution server and clients and POLYCENTER 
    	System Census agents are the mechanisms POLYCENTER AssetWORKS will 
    	use to support OpenVMS systems; therefore POLYCENTER Software 
	Distribution and POLYCENTER System Census will work seamlessly with
	AssetWORKS.  This integration of the POLYCENTER Configuration 
	Management products provides a growth path for customers and gives
	them flexibility in choosing a solution which can change to
	accommodate their evolving requirements. 

    	PATHWORKS ManageWORKS provides direct, integrated management of both 
    	Novell NetWare and Microsoft LAN Manager environments.  ManageWORKS 
    	provides management of NOS services (not configuration management of 
    	the enterprise) and is targeted at the PC LAN/workgroup. 

    	OpenVMS Management Station (aka ARGUS) will provide account management
	for one or more OpenVMS cluster systems from a single, Windows-based
	PC in Q1 FY95.  Future possible enhancements include printer
	management and storage management.

    	Digital's partnership with Microsoft (Microsoft System Management 
    	Server) will provide the industry leading configuration management 
    	solution. With the planned integration with POLYCENTER Manager on 
    	NetView, Digital's relationship with IBM (NetView), and the

	        LMF (License Management Facility).

		LMF was designed and built to meet a very simple core set of
		requirements that met the needs of the industry at that time.
		Since that time, massive changes have occurred in
		how software is implemented and an overwhelming need to
		manage software as an asset has developed resulting in
		the need to move to the more advanced PLS technology.  

	     	PLS was built to satisfy the needs of the three primary areas of
	     	the software business -- development, distribution, and
	     	implementation and was designed with the future computing
	     	paradigms in mind.  That is, distributed, client/server,
	     	heterogeneous, scalable and flexible.  It can satisfy the needs
	     	of the software developer, by providing the best protection for
	     	their products, while allowing complete implementation
		flexibility for the end user.

	     	PLS's initial target market is to platform providers (operating 
	     	system vendors, software developers and distributors.  PLS is
		a base technology and perceived as something that has more
		value to these audiences than to end users.  To end user
		groups that see software asset management as a priority, PLS
		is also significant to their future directions and
		purchases.

	  Q5  	What is the current status of PLS?

	  A5	During the past year, we successfully negotiated a contract

	4.1 POLYCENTER PROBLEM MANAGEMENT PRODUCT BACKGROUND

        The inability to manage to service-level requirements (e.g.,
        availability, response time) is presenting a major obstacle for
        customers trying to migrate to client-server.  The POLYCENTER Problem
        Management portfolio is built on some very successful products that
        customers have been using to meet these requirements in their
        commercial OpenVMS systems.  Digital continues to move forward in
        evolving this set of products and services to address the requirements
        of the heterogeneous client-server environments of the 90s.

        In order to maintain service levels, Problem Management products
        support the full lifecycle of detecting, isolating, and correcting
        faults.  The portfolio includes:

             POLYCENTER System Watchdog (PSW)
             POLYCENTER Console Manager (PCM)
             TARGET->ALERT
             
        POLYCENTER Console Manager and POLYCENTER System Watchdog
        products  consolidate overall monitoring, problem detection
        and resolution for today's client/server environments. These
        products continue to enjoy high customer acceptance, with over
        14,000 consoles being managed by POLYCENTER Console Manager
        (includes VAXcluster Console System), and over 10,000 issued
        POLYCENTER System Watchdog licenses.

	4.2 POLYCENTER PROBLEM MANAGEMENT PRODUCT STRATEGY

	A. PLANNED FUNCTIONALITY & PLATFORM SUPPORT

        POLYCENTER Console Manager  -  
        The latest release of PCM (V1.5) is available now.  PCM V1.5
        adds support for new platforms, adds new features and
        functions, unifies the console management product set across
        multiple platforms.  PCM V1.5 runs on DEC OSF/1 AXP, OpenVMS AXP,
        OpenVMS VAX, and ULTRIX RISC platforms and can manage those platforms 
        plus HP-UX, IBM AIX, Sun Solaris, and any other platform that has a 
    	standard console port.  One of the main new features is an up-to-date 
    	Graphic User Interface making it easier to define events, scan for 
    	critical status, and have corrective action taken automatically.  
    	Other main features are increased capacity (up to 200 managed devices), 
    	and better integration with PSW and POLYCENTER Scheduler.  

        PCM V1.5 also replaces VAXcluster Console System on OpenVMS
        thereby providing customers with the ability to implement a
        unified console management environment.  Migration aids are
        provided and licenses migrate automatically for customers who
        have service contracts.

        In FY95, PCM development will focus on determining needs for
        other platforms (e.g., Windows NT).

  




        POLYCENTER System Watchdog- 
        The latest version of PSW (V2.2) is currently available.  It
        supports DEC OSF/1 AXP, OpenVMS AXP. OpenVMS VAX, ULTRIX RISC, and 
 	ULTRIX VAX servers.  PSW supports agents on these platforms plus
        systems running SunOS, HP-UX, and AIX operating systems. 

        In FY95, PSW development will focus on determining needs for
        agents on other platforms.


	B. POLYCENTER PROBLEM MANAGEMENT PRODUCT POSITIONING

        TARGET->ALERT -
        Digital recommends Target Systems' TARGET->ALERT for
        guaranteed notification capabilities (e.g., notification with
        acknowledgment via satellite pager when PSW detects a fault). 
        Digital has signed an agreement with Target Systems to
        distribute, support, and enhance the DECalert product, which 
        provides industry-leading notification capabilities. Target
        Systems is now providing remedial support to all existing
        DECalert customers as well as working with Digital Field on
        new sales opportunities.  TARGET->ALERT currently runs on 
	OpenVMS VAX platform.  Digital is working with Target Systems on plans 
    	for them to support additional platforms.

    	Digital's Problem Management has more to offer customers 
    	than the competition.  Digital can better meet customer needs to cover
    	problem management across their diverse technologies of
    	client/server platforms.  For example, POLYCENTER Console manager
    	allows management of up to 200 systems through any vendor's RS232
    	console port, and has the flexibility of allowing creation of
    	monitoring profiles for any vendor or customer-unique messages.

    	The functional integration of products across problem and operations
    	management -- such as POLYCENTER System Watchdog, POLYCENTER Console
    	Manager, and POLYCENTER Scheduler -- offers more cross-product
    	cooperation and integration than for comparable competitive
    	products, and hence more potential productivity gain in the
    	customer's IT department.  Also, Digital's concurrent license
    	pricing structure for Console manager allows a better match of price
    	to the complexity of the systems installation:  Pricing is based on
    	number of system managed rather than the power of the system that
    	hosts the POLYCENTER Console Manager product.

	evaluates the impact of any changes to the configuration or

	functionality is available as a service.

 	DECtrace is a layered product on OpenVMS operating system.  It monitors
	the performance of any application -- most notably TP and database
	applications.  Critical middleware software such as RDB, ACMS, DBMS, 
	DECforms, DEC Rally, SmartStar, and NOMAD have been instrumented
	with DECtrace calls to provide customers with in-depth analysis of
	their transaction processing and database processing. This provides
	performance characterization for tuning and helps plan for future
	resource requirements. 

     	A Software Developer's Kit (SDK) that provides DECtrace-like functions
     	is available on the OSF/1 operating system under the name POLYCENTER 
     	Application Trace SDK for OSF/1.  It contains a data collector, 
     	formatting for ORACLE and UFS (UNIX File System), and a detail report 
     	function.  This kit provides application and layered product 
     	developers with the capability required to effectively instrument 
     	and debug their instrumentation.  A future release will provide 
     	complete Trace capabilities to analyze and tune the performance of 
     	these instrumented applications.

        POLYCENTER Performance Solution remains a key part of Digital's 
	management offering.  Its key components, POLYCENTER Performance 
	Advisor and POLYCENTER Performance Data Collector continue to hold 
	a leadership position for system performance measurement on OpenVMS 
	platforms.  Digital has over 30,000 customer systems being monitored 
	for performance.  That information is being utilized by over 10,000 
	POLYCENTER Performance Advisors and by over 1,000 POLYCENTER Capacity 
	Planner modules.
  


	5.2. POLYCENTER PERFORMANCE MANAGEMENT/CP PRODUCT STRATEGY

        In support of customers' ever-changing multiplatform environment,
        Digital is exploring collection of performance data on other UNIX 
	platforms.  The goal is to provide end-to-end system and application 
        performance management for client/server, distributed configurations. 

 	The implementation of POLYCENTER Performance Advisor's expert system 
     	capability is under way for DEC OSF/1.

	The current version of the POLYCENTER Capacity Planner product runs 
	on OpenVMS VAX and AXP systems.  The Capacity Planner continues to work
	with the Data Collector (V2.1) from the POLYCENTER Performance
	Solution for OpenVMS.  An OSF/1 version of the capacity planner is
	available as a consulting service offering.

 	DECtrace for OpenVMS and the POLYCENTER Application Trace SDK for 
    	OSF/1 has recently been acquired by ORACLE.  Digital will continue to 
     	sell these products and is currently exploring opportunities with 
     	ORACLE for cooperative development and porting.  This alliance 
 	proliferates the trace functionality in the database marketplace and 
 	supports Digital's strategy to provide end-to-end performance 
 	measurement, value added performance applications, based on the 
     	Trace technology.

 	POLYCENTER FullSail lets system administrators manage a 
	variety of distributed UNIX nodes from one workstation.
	FullSail includes user account management, file system 
	management and performance monitoring and is shipping on
	DEC OSF/1 AXP systems with support for SunOS, HP-UX, DEC OSF/1 AXP,
	IBM AIX, and ULTRIX systems.

 |   	OpenVMS Management Station for OpenVMS VAX enables management
||    	of one or more OpenVMS Cluster systems from a single Windows-
 |   	based PC.   The first version is focussed on user account 
 |      management for VAX systems.  Other functional areas will be

        DEC DBA Workcenter on OpenVMS and OSF/1 provides a packaged solution
	for customers whose interest focuses on management for distributed
	database systems. The DBA Workcenter, through a framework and a set of
        tools, helps simplify tasks facing database administrators and
        consultants. Database management tasks such as identifying
        performance issues and applying resolution are managed from a
        central area and the actions distributed over the network to
        on-line database systems.

	Q1  Why would customers want a scheduling tool?  Isn't batch or 
	    cron good enough for the OpenVMS and UNIX environments?

	A1  POLYCENTER Scheduler is designed to go beyond the limitations
	    of batch and cron, to provide an optimal production scheduling
	    environment.  With benefits such as multivendor platform support,
	    client/server, load balancing, and error recovery, POLYCENTER
	    Scheduler ensures that jobs are executed at the right time,
	    within the proper constraints, and that compute resources are
	    utilized in the most efficient manner.  In addition, processing
	    which requires synchronization across platforms and network can
	    be easily accomplished with the POLYCENTER Scheduler.


	Q2  When will the next version of Scheduler ship?

 	A2  V3.0 will ship in February of 1995, providing DEC OSF/1 server
 	    and user interface support.  In April of 1995 V3.0 will be 
 	    available on OpenVMS.  The version following that will provide 
 	    functionality enhancements.  The product user interface and 
 	    server will be ported to Windows NT by the end of the fiscal 
     	    year.

	7.1  POLYCENTER SECURITY MANAGEMENT PRODUCT BACKGROUND


	Today's evolving and widely distributed business and computing 
        environments have introduced a multitude of complex security 
        challenges which pose significant threats to a critical business 
        asset i.e. INFORMATION. For example the F.B.I. estimate that IT.
        security breaches cost companies between three to five billion dollars. 


	An organization's critical business assets: people, property,
	information, and reputation, demand comprehensive security coverage.
	Digital's broad portfolio of security products and related consulting 
        services were developed and built on providing security for Digital's 
        own internal business environment with over 800 locations globally, 
	over 80,000 employees currently and the world's largest private data
	network of its kind.  The POLYCENTER security management suite includes:

		POLYCENTER Security Intrusion Detector (PSID)
		POLYCENTER Security Compliance Manager (PSCM)
		POLYCENTER Security Reporting Facility (PSRF)
		DEC SecurityGate
 		Firewall Service 


        POLYCENTER Security Compliance Manager (formerly known as DECinspect
        Compliance Manager)  products allow system managers to implement a 
        baseline level of security in their networked computing environments.
        The first line of defense is to implement security policies across 
        the network  and ensure that all systems remain in compliance.  
        PSCM products address this need while reducing the overhead required 
        to manage the network.

 
	POLYCENTER Security Intrusion Detector provides realtime security
	monitoring to detect any suspicious or hostile activity caused by 
        malicious hackers or inexperienced users and initiates counter-measures
        in response to potential security violations in real time. In addition
        to detection, PSID can notify system management personnel.

	POLYCENTER Security Reporting Facility consolidates enterprise-wide 
	security information for systems running either the POLYCENTER 
	Security Compliance Manager or the POLYCENTER Security Intrusion
        Detector. This makes it possible to view current and historical 
        information. PSRF supports a hierarchical reporting structure that 
        combines data which allows the building of a security management 
        structure that fits the organization, regardless of its size.

	The introduction of the Internet has increased the importance of 
	secure gateways.  Digital has taken the lead with the recent
	announcement of a security offering specifically for Internet,
        Firewall Service (formerly known as SEAL); and DEC 
	SecurityGate, a firewall applications for DECnet Phase IV.
     	Digital's Firewall Service provides connectivity to and from the 
     	internet through a number of secure proxies or application 
     	gateways.  These application gateways provide secure use of 
 	favorite internet applications such as: E-mail, FTP, Telnet,
 	and World Wide Web (Mosaic) news and hand held authentication.


	7.2  POLYCENTER SECURITY MANAGEMENT PRODUCT STRATEGY

	Digital continues to develop the POLYCENTER suite of products. The

	POLYCENTER Security Compliance Manager for DEC OSF/1 AXP, OpenVMS AXP,
	and Solaris 2 was released in March of this year, with support
        for Novell NetWare available in September. This further
	strengthens our multivendor support which already included IBM
	AIX, HP-UX, SunOS, ULTRIX (VAX and RISC) and OpenVMS VAX platforms. 

	POLYCENTER Security Intrusion Detector, is available for OpenVMS, 
        ULTRIX, SUNOS and OSF/1 operating systems.

        POLYCENTER Security Reporting Facility is available on OpenVMS VAX
	operating system.

	7.3  POLYCENTER SECURITY MANAGEMENT Q & A

 	Q1  How do POLYCENTER security products differ from the secure
     	    operating systems that Digital produces?

 	A1  Digital's POLYCENTER security products are layered software that 
	    work with the respective operating systems.  They do not require
	    "secure" versions of the operating system.  Secure versions of 
	    the operating system are designed for specific environments that 
	    require special protection for even getting into a system.  These 
	    are used for some government and national defense areas.  The 
	    POLYCENTER Security family is designed to help customers implement  
     	    their computer security policy (POLYCENTER Security Compliance
     	    Manager), monitor the implementation (POLYCENTER Security Reporting
     	    Facility), and additionally detect and/or take counter measures to 
     	    intrusion efforts (POLYCENTER Security Intrusion Detector).

	Q2  What does the POLYCENTER Security Intrusion Detector do that the
	    POLYCENTER Security Compliance Manager does not do? 

 	A2  Both products perform different but complementary functions. 
     	    The POLYCENTER Security Intrusion Detector can be considered 
     	    as a dynamic tool with the specific function of detecting 
     	    possible intrusions in real time and initiating counter measures.
     	    The POLYCENTER Security Compliance Manager checks for 
     	    adherence to a security policy and reports on variances from the 
     	    policy and provides lockdown scripts to correct instances 
     	    of non-compliance. The POLYCENTER Security Compliance Manager 
     	    is normally run periodically while the Intrusion Detector is 
     	    run continually.  For truly effective computer security
     	    (outside of secured operating systems), both are desirable.

	Q3  Why is multivendor support not consistent across the 
     	    POLYCENTER Security products ?

 	A3  We believe that the customer must first define a security policy, 
     	    the minimum level of compliance to the policy, and then 
     	    have a means to implement this policy.  That is why we have
     	    concentrated on covering all of the strategic platforms with the 
     	    POLYCENTER Security Compliance Manager.  However we are aware 
     	    of customer's needs in relation to the Intrusion Detector and 
     	    Reporting Facility and are planning to increase the platform 
     	    coverage for these products in a future release.

	Q4  I believe there are some Consulting Services available to 
    	    help in the deployment of these security tools ?

 	A4  We have proven consulting services built on providing security 
     	    for our own internal network one the largest in the world. The
      	    POLYCENTER Security Review Service  identifies risks and 
     	    recommends corrective actions. The POLYCENTER Baseline SECURstart
     	    Service helps you set a security policy and define the minimum
