	One of our customers has an "old" PATHWORKS v4.1 server and
	PW4.1 clients.
	They are willing to upgrade their clients to W95 + PW32 but
	still use 4.1 server if possible.
	
	Which licenses should I sell for them ?

	Upgrade from 4.1 --> v5.x,6.x --> upgrade to PW32 = 2
	upgrade licenses ?

	Or is there a direct upgrade from 4.1 - PW32 ?

    ooh, good question!
    
    the PW32 System license would be required for each client running PW32.
    
    the licenses they already have (don't they?) should cover the legal
     right to access their PWv4 server.  The problem here is that a good
     many folks have no idea how many of these they've got and have no way
     of telling, unless you have a good record of what all they purchased.
    
    Since they don't have a PWv5 server, the licenses will be "put in a
    file cabinet" and they won't need/want to load the license agent in
    PW32.

"Without extra cost..."????  I don't think so!!!

If a customer can prove that they have purchased prior a version of the client
software we will, out of the kindness of our hearts, offer to **sell** them an
upgrade license at a reduced fee...it is ***NOT*** free!

If I go to my local Mercedes Benz dealer with a 1974 300D, will they *give* me
an nice new 1997 560SL????  I don't think so!

Hopefully I misinterpreted your original statement.  I just get a bit nervous
when folks start talking about *giving* away products that we build.

	When you said "prior a version" did you mean to say:

		"any prior version" (starting with PCSA 1.0?)

	or

		"the prior version"

	?

	We can all agree that the price to upgrade a "PATHWORKS V6.0 for 
	DOS and Windows" license to a "DIGITAL PATHWORKS 32 V7.0" licnese
	is less than the price of a new "DIGITAL PATHWORKS 32 V7.0" licnese.

	The original question is:

Note that a "PATHWORKS V4.1 for DOS" license is, essentially, a CCS license.
It includes both a license to use PATHWORKS V4.1 for DOS software and PATHWORKS
V4.x for OpenVMS software.  As you know, a DIGITAL PATHWORKS 32, V7.0 license
grants only the rights to use DIGITAL PATHWORKS 32, V7.0 code (and all prior 
versions of most Intel-based PATHWORKS products).  In particular, it doesn't
grant the right to use any PATHWORKS server software.

With that groundwork set, the answer is, "Yes, a customer can buy a DIGITAL
PATHWORKS 32, V7.0 Upgrade license with proof-of-purchase of any prior version
of PATHWORKS for DOS and Windows, including PATHWORKS for DOS, PCSA V3.0, etc."

One would continue to use whatever license they had to use the servers that they
have.
