HEWLETT-PACKARD TO ACQUIRE APOLLO

	"Hewlett-Packard To Acquire Apollo Computer At $13.125-Shr"

PALO ALTO -DJ- Hewlett-Packard Co. and Apollo Computer Inc. said the
companies' boards have approved a definitive agreement under which
Hewlett-Packard will acquire Apollo for $13.125 a share in cash.

Apollo has about 36.3 million shares outstanding.

The company said a tender offer by Hewlett-Packard for Apollo shares will
begin within five days.

Hewlett-Packard Co. and Apollo Computer Inc. said the transaction is
subject to necessary regulatory approvals, and the expiration of
appropriate waiting periods.

The offer is conditional on the tender of at least 51 pc of Apollo stock.

Hewlett-Packard said it intends to operate Apollo as a separate division
within Hewlett-Packard's workstation group.

Hewlett-Packard President and Chief Executive John A. Young said, ''HP and
Apollo together represent an ideal blending of product strengths and
business strategies.''
