    Can someone tell me how a person assigns a proxy to someone else, where
    the first person can't be at the company annual meeting and so assigns 
    (X) shares to another person who can?

Article VI. Elections

Section 4. No member shall be entitled to vote by proxy, but
a member other than a natural person may vote through an
agent designated in writing for the purpose. A trustee, or
other person acting in a representative capacity, shall not,
as such, be entitled to vote.

Section 5. Irrespective of the number of shares held by him,
no member shall have more than one vote.

    I was referring to a proxy at the _Company_ annual meeting, not to a
    DCU meeting.

    Definitely the wrong place to ask the question. At stockholders meetings
    proxies *are* allowed. I'd ask that question in CDSRV::ASKENET_V5 or
    SUBWAY::MARKET_INVESTING.
