Just taking a wild stab, but wouldn't the Officer representing the
Corporation Badge # be enough? Aren't most VP's considered officers of
the Corporation?

| Is there a reason for this speculation? Are you afraid to believe that
the Company cares enough about its employees to investigate
allegations, to reassure us, and to encourage us to vote? Does there
have to be some other motive?

| Somebody suggested that DEC put in some money to get DCU going when it
started. I have no idea whether this is true or not. It never occured to
me that DEC would put any money in it, but now that they mentioned it,
it might be hard to start up a credit union with the cash from just a
few hundred people.
Maybe DEC primed the pump so to speak. Anybody know?

| I'm sure that DEC is a member of DCU. There is a provision in
the by-laws for voting by a non-person entity (I forget how exactly
they state it, but it's something like that). I would presume that
all of this commentary coming out of HQ during the days before the
Special Meeting, and during the Special Election are all Official
Comments from DEC the DCU Member.
No big deal that DEC is a member...I would expect to see similar
things at other Employee-owned credit unions.

Not sure about the money but DEC did DONATE the equipment to get DCU
started, which consisted of a VAX-11/780 and some terminals (VT100's).
Not sure what DEC did when DCU converted their systems several years
back.

Back in 1981 I remember noting that Digital had made a
donation of $400K to get the DCU started. Whether that was the value
of equipment, cash, equipment and cash, etc. I don't know.
I also remember seeing somewhere in the last six months or so that
Digital is a DCU member. Perhaps it was the note from Ilene Jacobs.

I would imagine DEC might deposit some of its cash reserves with DCU.
No problem with that. They have to put them somewhere. However, it
does not grant them special rights to try and influence an election.

Well, not to devil's advocate this too much, but in fact, as a member
depositor (if in fact they are), they (DEC, the corporation) should quite
probably be allowed to make whatever "campaign" statements they like, just
as any other member should. I'm free to try and convince others to see my
point of view, as should they be free to do so. I am not necessarily free to
use company time or resources to do so (I don't own them - the company does),
but I would think that the company is free to do that if they so choose.
My only gripe is that if the company is doing this as a member depositor
with a vested interest based on company funds held by the DEFCU, then
I'd like them to say that. Because if they aren't willing to admit that,
they continue to look like they're trying to rig the election as a party
who has no business being involved. Also, if they are involving themselves
as a depositor-member, I'd like to know that they have intent to influence
DEFCU policies. The rest of the membership deserves to know that in order
to make appropriate decisions as to whether or not this is the appropriate
financial institution to be dealing with. Of course, I can understand why
that might be desireable not to have known.

1. The name of this credit union shall be Digital Employees
Federal Credit Union.
2. ...will maintain its office...in the field of membership.
3. The names of the original subscribers: not listed. [sic]
4. ...par value...$5.00.
5. (6/89) The field of membership shall be limited to those
having the following common bond: Directors and employees of
the Digital Equipment Corporation who work in the United
States or Puerto Rico, or who are paid from Maynard,
Masschusetts, except foreign nationals at foreign locations,; [sic]
and, also included are spouses of persons who died while within
the field of membership of this credit union, employees of this
credit union, persons retired as pensioners or annuitants from
the above employment, members of their immediate families,

| I believe that DEC continues to give DCU reduced prices on equipment.
I can't remember where, but I recall once reading that DCU buys
equipment at IEG prices.
