    Given the new and very high level of interest in DCU, I would like to
    suggest to DCU and the BoD that the 1992 Annual Meeting scheduled for
    the end of April, 1992, be held after work hours.  The annual meeting
    has been held at 3 pm at DCU HQ in the past.  This would be a very good
    opportunity for the BoD and DCU management to meet and converse with 
    the membership.
    
    What do you think?  Worth it?

    I don't understand.  How can members of the DCU go to the annual
    meeting during work hours unless they take the afternoon off?  Unlike
    shareholders in most public companies whose job is usually managing
    stocks and shares, members of the DCU work for a living, including the
    employees of the DCU (unless they close all the branches so they can
    go).

    Virtually nothing occured other than reading the vote totals.
    I think there was a great hope on DCUs part that the meeting
    occur with no discussion.  They did not have to stop any...no
    one asked any questions, the minutes of the 91 Annual Meeting
    and the Special Meeting were accepted as 'read' (and reading them
    was waived), the vote tallies were read (with a great 'may i have
    the envelope, please', and the two sealed envelopes were opened),
    and the meeting was over.

    There were far fewer people there than I expected.  There were lots
    of seats...almost half.....empty.  About half of the people there seemed
    to be DCU tellers and about half DEC 'engineers' (I'm stereo-typing
    here a bit).

    It was interesting that Abbot Weiss and Susan Shapiro were not there.
    I couldn't help but wonder if they knew they had not been elected.

    Three or so of the incumbent board members were introduced...along
    with fairly LONG Digital job titles and descriptions.

    I found the age disparity between the outgoing board and the new
    board pretty astonishing.  It was like the board was passing from
    the parents to the kids.  And about time too.

    No. The meeting was short and sweet. It took 15 minutes to run thru
    the all the agenda items. They were:
    
    	1. Quorum Declaration
    
    	2. Approve 1991 Annual Meeting Minutes
    
    	3. Approve 1991 Special Meeting Minutes
    
    	4. Official Reports:
    		a. Director's Report
    		b. President's Report
    		c. Credit Committee Report
    		d. Supervisory Committee Report
    	
    	5. Announce Election Results
    
    	6. Unfinished Business - None
    
    	7. New Business - None
    
    	8. Adjournment
    
    
    The meeting could not deviate from the above agenda.

    Yes, the Worcester T&G had a fairly big article in the front of the
    Business section.  It was not such a great article as far as getting
    the feeling for why the events that have been happening did, but it
    was nice to see the press, and you had to *love* the title:

	I took a vacation day, and arrived at the R&G around 10am. I was
	by myself for a while, around 10:30, some folks showed up, I 
	expect to start setting up. I left around 11:15, and when I returned
	a little while later, the parking lot had been divided into one 
	reserved area (for the board members and candidates, and another
	for 'everyone else'. 

	There were also a couple folks I knew, and we sat down and talked,
	and a few more showed up. A little after 12:00, many DEFCU
	employees showed up, and went in for their meeting. Around this 
	time,. Chuck Cockburn stopped by, and explained that they'd have
	their staff meeting, and then vacate the building, and we could 
	register and eventually they'd open the building for anyone 
	registered.

	Box lunches had apparently been provided for the staff meeting, and 
	we were asked if we wanted some, as they had plenty... The HQ
	staff seemed to be friendlier than we had expected...

	We registered, and eventually entered. I'd estimate maybe 150 people,
	close to half of which were DEFCU employees. I think there was one
	reporter hanging around.


	There were plenty of empty seats when the meeting started promptly
	at 3:00 pm. I think the actual meeting and post meeting activity
	has been well summarized, except for two things:

	There was a brief (1-2 minute) recess in the middle of the meeting,
	I think the parliamentarian and Paul Kinzelman talked, don't know
	about what.

	After the meeting, the new board got together briefly, I think
	with some of the senior DEFCU employees. I am told no by-laws
	were changed :)

	Congratulations to everyone who participated in this, from the
	member owners who voted, to the candidates that lost, to the 
	candidates that won. I think we have a great board, and a great
	opportunity for our credit union!

Weiss, Gibson, Shapiro all were absent yesterday.  Many candidates
(including the 3 who won) were not able to attend as well.  I suspect
this is because it's very difficult to get away for a meeting like
this during the day.  Also, the meeting *was* pretty uneventful aside
from the reading of the ballot.

Jack Hutchinson and Paul Kinzelman negotiated with the parlimentarian
prior to the start of the meeting for a recess after the announcement
of the results to give us an opportunity to ask for a recount and discuss
the issues regarding that.  During the recess, Melchione (the parlimentarian),
along with Paul, Jack, Mark Steinkrauss, Phil, and myself stepped, literally,
into the kitchen.  We all felt there was nothing to discuss - the outcome
of the election was great as far as we were all concerned, and so we 
resumed the meeting about 1 minute later.

Preceding replies have conveyed all of the essence of what went on.  What I
can add is just a little filling in:

  o  The security people were fully prepared to turn away all who arrived
     after the 300th voting card was given out.  I asked.  (This did not
     become necessary, as the number of attendees did not even approach the
     limit.)

  o  Everyone was friendly.  Many of us were greeted personally, with smiles,
     by DCU staff.

  o  The DCU employee staff meeting was indeed very short.

  o  The DCU employee seating was handled much better than at the Special
     Meeting.  Assuredly, since they were all there early, they were pretty
     sure to get voting cards, but they were NOT first in line.  And I
     didn't see anything of a "special seating section" this time.

  o  Mark Steinkrauss chaired the meeting.  (Hadn't it been promised
     earlier that Chuck Cockburn would do so?)  No announcement of the
     change in plans, though, nor any explanation.

  o  Since the election results went so well (I think many attendees didn't
     realize what had happened until after the meeting was over),  there was
     no occasion for any motions.  (We'll let the new Board handle things now,
     right?  (*))  However, it appeared that appropriate efforts had been made
     to restrict the meeting, just in case.  The voting card handed out at
     registration read,

        "...Welcome to DCU's Twelfth Annual Meeting

         All Members Must Observe the Following Procedures During the Meeting:

           ...

         Please see the Official Agenda (separately provided) for discussion
         items.  No changes to the published agenda are permitted.  (**)

         No audio or visual recording of the meeting will be permitted."

      Perhaps we've now seen the last of this kind of thinking at Digital
      Employees' Federal Credit Union.  I think I'll keep my blue voting
      card, along with my Real Choices button, and along with my letter from
      John Sims.  Collectors' items some day...

      Congratulations to the new Board!  Good riddance to the old ways!

(**)  re:  no changes to the agenda.  This may have applied to the Special
      Meeting, since the Bylaws do say "no business other than" with respect
      to Special Meetings.  But there is NO such Bylaw provision for Annual
      Meetings.  In fact there is specific language which ENABLES the
      members assembled at any Annual Meeting to change the order of
      business.

(*)   re:  letting the new Board handle things.  Perhaps thinking of the
      amount of work to be done, someone (Paul Kinzelman?) commented on how
      the total number of votes determined the length of new Board members'
      terms.  First prize is a one year term.  Second prize, two years.
      Third prize (most votes), three years.  :)
