369.0. "Open letter to the DCU Board of Directors" by SMAUG::GARROD (An Englishman's mind works best when it is almost too late) Wed Nov 13 1991 17:41

This is short and simple open message to the board of directors.

If you don't implement motion 3 ie call/schedule elections for all 7
members of the board within 90 days you will be facing another special
meeting. I will work tirelessly to get the 200 signatures (we got 1200
last time) and this time we will be as well if not better prepared
than you. Also our motions will be a lot more tightly worded.

So in the interests of the credit union and ALL its members I strongly
advise that you don't try and circumvent the intent of question 3
    and cost us another $35,000.
I was very upset to hear certain board members talking after the
meeting about how they thought that question 3 was moot.

And don't forget you can't remove that nasty little special election
bylaw from the bylaws it is NCUA mandated.

Our whole intent all along was to get you ALL to stand up for
reelection against others. The special meeting overwhelmingly agreed
with us. I suggest you start listening to the membership and not cost
    us any more money.

    Thank you,

    Dave Garrod

And I have said elsewhere that I will personally do the same
thing as .-1 has promised. You better believe it!

You can count on me too.

Thanks for all the good work and info from the meeting back east.

If the BoD does not hold an election to fill all seven seats in the
designated time frame, I too will be there to sign the petition and
    vote.

This does not mean I will automatically vote all current members out,
it just means I want an opportunity to choose.

I guess this is as good a place as any to drop my comments. First
of all, to everyone, please lighten up a little! Second of all,
despite all that has happened, and despite my own doubts, let's try to
give the BoD the opportunity to "Do what is right".

It must be perfectly clear to the BoD now that they have just one
last opportunity to demonstrate the correctness of their position(s).
A full, open election, preferably within 90 days has been voted.
Whether it was legally correct is not of any interest to anyone!! The
fact is that it was the sense of the meeting that a full election
within 90 days was desired. Put aside any legal wrangling. Do the
right thing. Hold an election. Who knows, many of the BoD may be
re-elected. If so, the membership will have spoken. If not, the
    membership will also have spoken.

But make no mistake, many, many members are resolved in at least
clearing the air by having full elections. Let it happen. Let it be
announced quickly. Shut down all the speculation in this notes file.
Too many of us are wasting too much time.

I attended the meeting as well. I learned a lot. Not the kind of
things I wanted to learn. The one thing that surprised me the most was
that most of the BoD chose to NOT speak on their own behalf. I view
that as MOST extraordinary. I cannot even imagine their reasoning.

Let me reluctantly add my support to holding a full election as
soon as practical. It is the only way that we will find peace! If
this does not happen, I can assure you that even if others do not have
the patience to pursue this, I do.

So, let's get on with it. As my father would advise, "I try to
identify the inevitable, and then I cooperate with it".

    Peace

    Dave,

I was impressed at your preparedness and professionalism
at the special meeting, not to mentions informative. What
are your plans other than voting in the special election.

Is the membership allowed to put forth nominies?

Another pat on the back for Dave. I thought the reading of the by-laws
to the board (and the entire assembly of course), as has been previously
stated somewhere in this conference, was particularly effective. The
board in particular seemed unfamiliar with them; it was very helpful to
   refresh their memories.
