    Many people have sent me mail asking about things concerning the
    special meeting.  I have been able to answer some of them and have
    gotten replies from people who have called DCU.  Here are the
    questions.
    
>    	B. Ascertainment that a quorum is present.
    
    	What is a quorum?	15 members
    
    
>    	PLEASE TAKE FURTHER NOTICE that only those members in attendance at
>    the meeting will be permitted to vote.  
    
    	I can't make it.  Can I give somebody a proxy?
    
    	No proxy votes allowed by the Bylaws.
    
    >The record date for qualified
>    members is November 1, 1991 and our Bylaws prohibit voting by

    	What does record date mean?
    
    If you received the mail concerning the meeting, you are on record.  No
    registration is required.  Any body joining DCU before Nov. 1st can
    attend.
    
    >Proper identification will be required.
    
    Since non-Digital people can join DCU, a picture id that corresponds to
    the name on your DCU statement should be sufficient.  I would bring a
    copy of your latest statement too, just in case.
    
    Also, I would expect ONLY voting members will be allowed in.  So if you
    bring companions who can't vote, they probably will not be allowed in.

    	MANY other questons:
    
    	Joint accounts?  One vote or two?
    
    	Only the primary member can vote.  I doubt if the secondary member
    can even get in.  See above.  Solution: Have secondary member open
    non-joint DCU savings account BEFORE Nov. 1st.
    
    What room is the meeting in?
    
    	Information witheld by DCU.
    
    How many people can it hold?
    
    	Information witheld by DCU.
    
    
    
    I would second and triple what somebody said earlier.  GET THERE RIGHT
    AFTER WORK.  DCU offices close EARLY.  If this room is small, there may
    be a riot because a LOT of members have told me they are going to be
    there.  Given all that has transpired, I would venture to say their
    mood would not be good if they were denied access to the meeting for
    any reason.

    As to what room the meeting is to be held in, and what size it is,
    has anyone tried calling the Sheraton to ask them?  I'd be happy to do
    it, but thought I'd check here first to see if anyone already has...

Well the pres/CEO spoke today:

He asked why we wanted to know how big the room was. I said I wanted to be
sure that everyone that wanted to be there would be able to fit (regardless of
whether they are pro or con the agenda items). He replied that the room
would be large enough (at least a thousand).

So, if you feel strongly one way or another, please attend and make your

    Actually I think he said he'd check on it.  1000 was a number thrown
    out when he asked how many we thought it should hold or something like
    that.  He still seemed to think it was none of our business.  Didn't
    quite line up with the "call me anytime" statement in the Network brochure.
    
    I'm not sure who he is going to get back to with the information
    though.  Ed, since you asked him, maybe he'll respond back to you. 
    He'll be in MRO this Wednesday.  Seems like a simple to call to the
    Sheraton Tara could be done by then.

	I asked a friend (DCU member) to call DCU and ask about the special
	meeting  to  see  what  Mary  would say.  Here is my best-effort of
	paraphrasing  of  what  my  friend  heard  [my  comments  in square
	brackets]:

       Mary said that the special meeting was called due to:
	1) The new checking fees, but they are now rescinded [put on hold
		but not "rescinded", other fees not rolled back]
	2) The indictment of the former president with the participation
		loans, but no BoD has been implicated.

	A handful of people compared to all the members signed the petition
	for  the special meeting [1200+ may be small compared to 88000, but
	the term "handfull" does not adequately describe the phaenominon to
	me.   And all those signatures were collected without much effort.]

	I got from my friend that Mary's attitude over the phone toward the
	special  meeting  was  fairly  neutral,  that  is,  she was neither
	encouraging nor discouraging people from coming.

   Oh yes,  and  Mary told my friend that the non-primary member of a joint
   account  would  be  able  to  "attend" but not vote.  If this is true, I
   wonder how they plan to keep separate voters from non-voters.

    Could someone please tell me how people with DCU accounts, who are not
    Digital Employees, situated regarding this meeting and the exchange
    of information on this notes file.  Both my sister and daughter have
    accounts (attached to mine) in the DCU.  Will they be able to attend

    This is really getting ridiculous.  In the last hour I have received 2
    phone calls from ex-DECcies who are still DCU members.  They got the
    notice in the mail and called DCU for more information as it
    instructed.  They got practically no information.  When asked how
    petitions were submitted, she said that it only took 200.  Not that
    1220 were submitted.  When they asked who submitted the petitions that
    they could speak to, Mary Madden told them she didn't know who submitted 
    them.  This is a blatant LIE and a huge disservice to DCU members.  
    
    DCU senior management is now acting irresponsibly by misinforming
    members.  I have called Mary Madden and asked that she stop lieing to
    members who call.  She had no comment or response.  DCU has reached a
    new low.
    
    P.S.
    I will be mailing out info packets to the home address of the two
    people who called.  The need for media attention to inform non-DEC DCU
    members may be a very necessary thing.  Think about it.  Would you want
    to be in the same information vacuum?

    It certainly seems that there should be a way to inform people. Lying
    is unacceptable, but I would not go bashing Mary Madden too far.  She
    may be under incredible pressure from above to be doing what she is
    doing.  I would NOT want to be in her shoes these days.
    
    Let's keep one thing in mind with respect to DCU employees.
    Whether DCU is a credit union or not, their employment experience
    probably only qualifies them for jobs in other credit unions or banks
    and we all know the current state of the banking industry with respect
    to employment opportunities.  They may be scared to death for their
    jobs right now.
    
    I would prefer to see this as an example of what the overall
    environment must be at the DCU.  I could even see them requiring those
    phone inquiries to be in writing, but if persons are outright lying
    I think that is evidence of an environment of fear.  The entire DCU
    from top to bottom must be scared out of their wits by this.

	Has any one checked with the NCUA to see if the Nov 1,
 	cutoff date for voters  is legal? In talking with an 
	attorney, she said that the cutoff date may be the date 
	of notice. Also that we should see if we can get someone 
	from the NCUA to attend this meeting to insure that things 
	are done on the up and up..

    .9 was not meant to "bash" Mary Madden and I hope it isn't taken that
    way.  I realize that Mary Madden only does what she is told to do.  If
    she didn't, she would probably be fired.  I, too, would not want to be
    her shoes.  I dealt with her before this got really tense and I found
    her a nice person that was very cooperative.  Unfortunately, now she
    appears to have been given some marching orders that almost anybody
    would find uncomfortable to carry out.
