     of this note to any DCU member is also granted.]

    
    All attempts at trying to find out ANYTHING concerning the special
    meeting have been shut down by DCU.  They will not disclose when the
    meeting will be held, where it will be held, who will be conducting the
    meeting (BoD Chairman or DCU President), how the meeting will be
    conducted (the rules of order).  Calls to the DCU President to request
    any of this very important information have been re-routed to Mary Madden
    who does her "submit all requests for information in writing and we
    will review them" routine.
    
    The best I can tell you is that the special meeting must be held within
    30 days of petition submission which puts the date on or before October
    17th.  All DCU members must be notified by DCU AT LEAST 7 days prior to
    the meeting being held.  So if any DCU member does not receive notice
    of this meeting by October 10th, please notify me or send a written
    complaint to the NCUA.  The meeting must be held within 100 miles of
    the headquarters.
    
    I asked if notice of the special meeting would be posted at the DCU
    branches and the answer was no.
    
    So I urge everybody to keep your calanders open for this VERY important
    meeting.  If you have any hopes of returning DCU to a credit union that
    works with you and for you, then please attend this special meeting and
    make real change occur.  Your vote will never count more.  The outcome
    of the meeting will directly affect your pocketbook.  If you're there,
    you can vote on whether your pocketbock will be thinner or fatter in
    the near future.

I have tried to be objective through out this period. I will,  however,
be very disappointed if the meeting does not take place by 10/17.

I can imagine scenarios whereby the DCU can avoid having the meeting:

1. DCU discusses the situation with the National Credit group.
   They indicate they have a new president, etc and would like to
   avoid calling the special meeting within the 30 days
   requirements.  I suspect with approval there's some over-riding
   mechanism that would permit this.  Most laws, etc have a
   loophole somewhere.  I would be surprised if the DCU has to have
   a meeting by 10/17. Again, there's an out somewhere. No one has
   discovered it yet.

2. Though consultation with the NCUA Legal consel in Washington,
   the interpretation is redefined. Special emphasis is placed on this request
   because the new President of the DCU has had a past affliation with the
   NCUA.

There is an out for the DCU. No one has figured it out yet. If the DCU
finds this legal out, it may not meet the spirit of the bylaws, but it
certainly would not be illegal.

    If I don't hear about a meeting on 10/17 by 10/10, I suggest we do it
    again!  Let people know that the DCU BoD will have ignored their call
    for a special meeting and that their only recourse is to call AGAIN for
    a special meeting.  BUT, this time, when the thousands of signatures
    are dropped off (again) send a little parcel to the NCUA.  This parcel 
    will contain formal letters of complaint gathered at the same time that
    the signatures for the second petition are gathered.

    People, let's get all the way through THIS petition cycle before
    planning on the next.
    
    The special meeting WILL happen.  DCU has acknowledged receipt and
    verification of the correct number of petitions to call a special
    meeting (verbally).  Though I have requested WRITTEN receipt of the 
    petitions and WRITTEN acknowledgement of verification, DCU has given
    NOTHING in writing.
    
    Should they decide to ignore there responsibilities in calling the
    special meeting, we can get the NCUA involved.  I have been told that
    they DO have the power to remove the entire Board of Directors if the
    situation warrants.

Waitasecondhere....you mean that they never gave you a receipt for the
petitions, or gave you any kind of written acknowledgement that they
had been received?

"Gee Phil, I'm not sure what you're talking about.  We don't know
anything about any petitions.  What ever are you talking about?"

Can those of us that are "geograhpically challenged" fill out an
officail proxy for someone who will be there?

The DCU might be very interested to know that the xxx people there 
represent xxxx members.

    We do have a sufficient number of eyewitnesses to testify in court
    should it be necessary.  They are not required by anything to do
    anything but accept them.  No sweat though.  Our copies are in a safe
    place.  Many things about this special meeting are undefined.  It is
    entirely up to the whims of the Executive Officer (Mark Steinkrauss). 
    At this point, I guess he would be the one to send mail to regarding
    these matters.

    If proxies were allowed, I think the BoD could be voted out in a flash
    judging from the sentiment expressed by DCU members during the petition
    drive.  I had thought of trying to put together something along the
    lines of what you're suggesting but I'm not sure what it could be used
    for.  It certainly would send a very clear message to the BoD, but they
    aren't doing much listening lately from what I can see.  Looks like the
    people back here are going to have to find the time to attend the
    special meeting at make things happen.  If they don't, then it will
    take 3 years to turn the BoD over completely.  I'm not so sure there
    will be much left of DCU in 3 years.  People's memories fade.  I
    believe that is what the BoD is counting on.
