    "DCU Seeks Candidates for Board of Directors"

   "The DIGITAL credit Union (DCU) is looking for cnadidates to run
    for the board of directors.  The board is responsible for setting
    policy, establishing and approving budgets, approving expenditures,
    authorizing and reviewing investments, planning for the long-term
    needs, and reviewing financial and operational reports.
    
    Prospective candidates may request an application package by calling
    Communication Director Donna Lane Nelson at DTN/223-6735 X207. 
    Candidates will be interview by a nominating committee made up of
    DIGITAL Equipment Corporation employees.  This is a December 1 deadline
    for filing.
    
    Candidates not selected by the nominating committee may run by
    petition, which will be available after December 21, 1987.  This
    year approximately 700 DCU member signatures will be needed to have
    a name placed on the ballot.
    
    Ballots will be mailed to all DCU members over the age of 16 on
    February 25, 1988.  DCU elections are supervised by the accounting
    firm of Peak, Marwick, Mitchell & Co.  The results of the election
    will be announced at the annual meeting on March 31, 1988 and will
    be announced over the DCU hotline DTN 223-3887.

So, let me get this straight - all nominees have to either be blessed 
by the current ruling powers-that-be, or get seven HUNDRED signatures
(that's bigger than many DEC sites). 

I guess the continuity of DCU policy seems more understandable now. :-}

In the interests of not criticizing without having a better
proposal...could I suggest that maybe closer to 50 signatures would be
sufficient to demonstrate that the candidate is serious and is not a
total louse?

    Yes, but who appoints/selects this board of "employees"?  Are they
    Digital employees or DCU employees?
    
    My opinion of board of directors are that they are self-perpetuating.
    People that are nominated and eventually get on them are only those people
    that are wanted by the existing group of directors.  This 700 signature
    requirement just seems like another ludicrous requirement to exclude
    potential candidates.
    
    If memory serves me, don't you have to explicitly name the director
    you *DON'T* want to vote for?  In other words, no vote is a vote
    to keep them.  Correct me if I'm wrong.  It's more of an approval
    process than an "election".

        I just talked to Donna Lane Nelson about BOD elections.  She
        said that the nominating committee is three people, picked by
        the Chairman of the Board, Mark Steinkrauss.  They are Jeff
        Gibson, Lou Kabatsos (not sure on the spelling of this; I'm
        double-checking it) and Linda Talanian.  All three are
        Digital employees.

        The nominating committee isn't necessarily looking for a
        "financial" background, but look for things like "a balanced
        series of qualifications", "well-motivated", and "positive in
        attitude". 

        She said there is no fixed limit on the number of people
        that this group can nominate, but the practical limit is
        about six or seven people.  If the ballot consisted of,
        say, 50 people, it's unlikely that any one or few people
        would have a "clear win".
        
        On running by petition - the law requires the petition signed
        by 1% of the credit union membership.  This is where the
        number 700 came from. 

        She also asked me to mention that the ballot package contains
        information on the annual meeting (e.g., when and where).

    We did have a candidate in the last election that wasn't approved
    by the commettee, but did get the neccessary signatures and ran.
    He didn't get elected.
    If memory serves me correct, he was put under campaining restrictions
    that weren't imposed on those who were nominated.  Also, I believe
    the ballot and other information singled him out as not being good
    enough [or your interpitation] to be nominated by the BOD.
    It is controlled.  I doubt that 'anyone' could make it.

    Well now our time to vote some people onto the BOD that are concerned
    with turning DCU back into a credit union that serves it's members.
    The latest DTW contains the call for candidates!  Deadline for filing
    Dec. 1 if you want to be interviewed by the "nominating committee"
    (haa!!) or Dec. 21 if you want to run be petition.  I just can't
    believe that the same people just keep getting elected with some
    of the BS DCU has pulled over the last couple of years.  If the
    same BOD wins, I will assume nothing will approve and then vote
    with my feet.

The Digital Credit Union(DCU) is looking for candidates to run for its board

        Remember that, while any Digital employee is eligible to
        be on the Board of Directors, board meetings are held in
        Maynard, MA.  The DCU doesn't pay expenses for attendance.
        
        In other words, if you work in Colorado Springs, and get
        on the board, you'll have to pay your own travel expenses.

    Well, Feb 24th has come and gone.  Where are the ballots?
    and the annual is march 31st.  Looks like you get to open the envelope
    with the ballot mark a quik x and give it back to the postman quick,
    if the ballot is to count.
    And they couldn't give me one more week to collect signatures! 
    It'll be entertaining to hear their excuss about this one.

DCU Board Of Directors.  I would like to let you know that there is, on
EASYnet, a VAX Notes conference for discussion of the DCU, at BEIRUT::DCU.
Further, I invite you to participate in the discussions there.

As you read through the conference, you will see many different concerns
that Digital employees have with the DCU.  Periodically, the information
in the conference gets sent to DCU management via Mark Steinkrauss, current
Chairman of the Board.  Occasionally, one of the participants in the
conference receives information, in the form of an "answer" to a specific
question, from the DCU, and posts it in the conference.

All too frequently, however, there is no answer from the DCU for the
questions and concerns raised in the conference.

I'm sure all the conference participants would be grateful to have you
read the discussions there, and explain how you would help resolve the
issues we discuss.

I would once again like to inquire why .-1 (actually, the posting of replies
by candidates) is a valid use of Digital Computer Resources while Ed's 
solicitation of signatures is not.  Both are related to DCU ( non DEC related).

        I just heard from one of the candidates.  That person declined
        to participate in the discussion here because it might
        be construed as using EASYnet to "campaign".  I've asked
        that person to point me to the policy that prohibits this.
        
        Just so my position is clear - I'm not attempting to either
        complain about, or agree with, this policy.  (I do have an
        opinion on it, but I'm trying to keep it out of this
        discussion.)

    So I guess we are all condemned to blissful ignorance.  Come to
    think of it, maybe *that's* the DCU "policy" for it's members...

        I swapped more MAIL with this candidate.  This candidate
        is referring to the "Proper Use" Personnel policy (6.54).
        The policy definition of "improper use" includes
        "communicating matters of private conviction or philosophy".
        The candidate interprets that to include "campaigning".
        
        Regardless of my feelings of that interpretation, I respect
        the candidate's interpretation and decision.
        
        Thus, it's not prohibited by the DCU, the Federal Government
        (I know that suggestion wasn't serious), or the existing
        board.
        
        It's entirely possible that the other candidates could
        interpret that policy differently, and post one or more
        notes here.

        I heard from a second candidate.  That person also contacted
        me to explain why that person is not writing in this
        conference.  (It's the same reason as before - the "Proper
        Use" Personnel policy.  See 70.21.)
        
        I appreciate the two (of six) candidates that took the
        time to reply to my message.  I believe at least one of
        the two will see this - so thank you.
        
        Remember, ballots are due (to an address in Illinois) this
        Friday.  I don't know what to suggest to the people who
        never got a ballot.
