We have now received procedures for handling the employees called up for Active 
Duty in the Armed Forces due to the Persian Gulf crises.

Here are the actions needed to make sure the activated reservist is properly 
listed and paid.

(1)  Employee completes a REQUEST FOR LEAVE OF ABSENCE form and submits it for 
     his/her manager's approval.  The LOA start date is 13 weeks from the date 
     of activation.
(2)  Employee reads, signs and dates "Agreement".  (See attached)
(3)  Employee completes YOUR BENEFITS AUTHORIZATION dropping Long Term 
     Disability Insurance, since activated employees will not be covered for 
     Sick Time, STD or LTD.
(4)  Employee should be advised to sign up for Direct Deposit if s/he is not 
     already on it.  Paystubs will continue to be sent to the employee's CC.
(5)  Employees with outstanding SAVE or DCU loans, or loans with other financial 
     institutions, should be instructed to contact the appropriate 
     group/institution since, by law, their interest rate may be lowered to 6%.
(6)  Forward all documents to the PSA/PA for processing.  (Direct Deposit form 
     may be sent directly to Payroll in the envelope provided.)

All activated employees will receive pay (including shift differential) and 
benefits (except as noted) for the first 13 weeks of their active duty.  Based 
on the information Personnel sends to them, Payroll will maintain a list of 
these employees and will enter time for Wage Class 2 employees on a weekly 
basis.  Therefore, managers will not need to complete timecards.  At the end of 
13 weeks the employee will be placed on Unpaid Military Leave of Absence until 
s/he returns to work.

IMPORTANT NOTE:  When the employee returns to work, you must notify the PSA/PA 
so that pay can be reinstated and the employee should be instructed to contact 
the PSA/PA to reactivate benefits.




                                Agreement
    
Whereas, the undersigned employee ("Employee") of Digital Equipment Corporation 
("Digital") has been called to active duty with the armed forces of the United 
States of America as a result of the crisis in the Persian Gulf resulting from 
the occupation of Kuwait by Iraq, and 
    
Whereas, Digital wishes to ease the financial burden of such active duty on 
Employee during the transition from civilian life to military life,
    
Now therefore, in consideration of the mutual promises made herein, Digital and 
Employee agree as follows:
    
1.  Digital agrees to continue to pay Employee his or her base regular wages or 
    salary, including shift differential if applicable, as the case may be, for 
    a period (the "Period") of no more than thirteen (13) weeks beginning on his 
    or her effective date of active duty and ending on the earlier of his or her 
    deactivation date and the date thirteen (13) weeks after the effective date 
    of active duty.
   
2.  Digital further agrees to provide Employee and Employee dependents with 
    continued coverage for the Period under Digital's medical, dental, and life 
    insurance programs under the same conditions and at the same cost at which 
    it is provided for active regular employees for the same Period.  Employee 
    is not eligible for Digital-provided Workers' Compensation, business travel 
    accident insurance, short term disability programs or long term disability 
    during his or her absence from Digital. 
    
3.  Employee agrees upon his or her deactivation following his or her period of 
    active service to provide Digital with all information needed to determine 
    the amount of pay that he or she received from the armed services for the 
    Period.
    
4.  Employee further agrees to reimburse promptly to Digital an amount equal to 
    the amount received by him or her from the armed services for the Period but 
    in no event more than the amount received by him or her from Digital for the 
    Period. 
    
5.  Employee agrees to provide Digital prior to acceptance of the benefits 
    conferred herein with all necessary documentation to show that he or she is 
    a member of the group for which this change in Digital's benefits policies 
    is intended, i.e., that Employee is on a military leave of absence due to 
    his or her activation with the armed forces as a result of the call-up of 
    reservists by President Bush due to the Persian Gulf crisis as described 
    above.
