Everything except some letters in the product name.

ATMw350 is going end-of-life, and its unit cost is too high (no profit).
ATMw351 has completely new hardware, thus mostly new drivers.
  ATMw350 uses off-the-shelf parts; 351 uses a Digital/Toshiba ATM SAR chip.
ATMw350 used the partial-packet DMA model for reassembly.
ATMw351 does single-cell DMA for reassembly, for reduced cost.
ATMw350 uses a PCI-PCI bridge chip for its bus interface, thus doesn't
work on Triton(?) motherboards. The SAR ASIC on ATMw351 has PCI built-in.
ATMw350 supports CBR and UBR, with optional FLOWmaster(tm).
ATMw351 supports CBR, UBR and Forum ABR, with optional FLOWmaster(tm).
(ABR support requires a firmware upgrade.)

  Ask for more specifics...

The ATMworks 350 is best for large alphas, and when running multiple
NIC cards.
